    Legal Officer, Litigation & Dispute Resolution (Fields)

    Job Purpose

    • To render legal services by monitoring and managing litigation against the company and rendering legal advice to the company on legal issues as it relates to the operations of the company.

    Job Responsibilities

    • To act as Company's legal representative responsible for claims and litigation arising from its field operations.
    • To participate in negotiations and meetings with host communities and other stakeholders involving the department with a view to resolving disputes
    • To participate in court where required and, on the specific instruction of superiors, any administrative or legislative panels in respect of matters involving the company and liaise with relevant departments in the company for the timely collation of facts and preparation of witnesses for effective defense and prosecution of the company's matters and tracking of these matters till completion.
    • To prepare necessary terms of settlement/resolutions for the approval of superiors and proffering advice on settlement of legal disputes involving host communities and other stakeholders
    • Liaise with external solicitors and obtains regular updates on ongoing litigation and dispute resolution matters.
    • Draft and review letters, maintain files and archives of legal documents and case folders.
    • Maintain and periodically update electronic and paper databases maintained by the legal department.'
    • To provides project administration support, handle time and fee schedules, project work plan monitoring, status report preparation, project documentation and filing.
    • To handle all incoming and outgoing correspondence and court processes, prioritize in terms of urgency and redirect as necessary to the user department, track and ensure timely responses and information from the user departments and preparation of status reports for the Division Manager.
    • To study and keep abreast of all legislations and regulations relating to the company's activities
    • To follow up the performance of assigned external counsel and their service charge invoices
    • To comply with the requirements of the different HSE policies of the Company, by applying the HSE Integrated Management System and the HSE Management System Guidelines and providing proper HSE conditions of work to everyone.
    • To carry out all other tasks as may be assigned by superiors and the Division Manager Legal District.

    Job Requirements

    • University Law Degree, Bachelor of Laws (LLB) and Nigeria Law School Certificate, Barrister at Law (BBL)
    • 7-10 years' experience in Legal Department of Oil & Gas Company or Law Firm involved in Oil & Gas Matters.
    • Good knowledge of the ONELGA LGA and experience in dealing with host communities will be an added advantage.
    • General knowledge of the law particularly the oil and gas industry.
    • Good knowledge of environmental law and follow up of new developments in the law at both local and international levels.
    • Knowledge of the court practice and procedures
    • Sound knowledge of legislations and regulations applicable to the oil & gas industry.

    Insurance Officer

    Job Purpose

    To assist the Assistant Manager, Insurance in handling Insurance Coverage, Programmes, Advisory, and Claims.

    Job Responsibilities

    • Processing of premium invoices from Insurance Brokers/Companies.
    • Managing the reporting and processing of all claims made by the Company or claims made against the Company by third parties and ensuring that any payments received are passed to the appropriate entity/unit.
    • With the assistance of the Company’s brokers, negotiate annually the applicable premium payable on the group’s insurance policies and ensure compliance with all applicable insurance legislation.
    • Prepare reports on a need-basis to appropriate officers, management, and committees on insurance matters.
    • Ensure timely payment of insurance premiums of all the Oando Entities before the expiration of subsisting insurance policies and ensure that there is no exposure as a result of unpaid premiums.
    • Provision of advice on, and support the implementation of, cost optimization and improved insurance risk management strategies.
    • Advisory to entities/units on insurance matters; discuss their insurance requirements taking into account any changes that have happened over the past year (including oil and gas Industry changes) or are about to happen regarding their operations and assets.
    • Review, negotiate, and where required, issue opinions on any contractual provisions relating to insurance in any contracts to which any of the Oando entities is a party.

    Job Requirements

    • Bachelor's degree in Insurance from a reputable tertiary institution.
    • Must be familiar with the company’s corporate objective regarding Risk and Insurance Administration with a very good knowledge of the Company’s insurable risks, explaining them to other departments when and as required.
    • 3 - 5 years working experience in the Insurance sector.
    • Minimum of 2 years working experience handling Oil & Gas Clients/ Special Risk Policies would be an added advantage.

    Required Competencies

    Corporate Development Officer

    Job Summary

    • Accountable for assisting in the corporate planning & strategy process and designing & implementing the necessary mechanisms to track performance against long-term and near-term plans. Including identifying and prioritizing business opportunities, to help shape the Company’s strategic direction and drive organizational growth.
    • Assists in efforts to identify and establish viable opportunities to grow the Company’s profitability. Providing financial and strategic insights that helps the decision-making process and align capital and resource allocation within the business budget.
    • Charged with managing and tracking the execution of critical growth initiatives and projects of the organization as well as any other supporting tasks as may be required by the IRM and the GM GCD from time to time.     Job Responsibilities

    Strategic

    • Assists in all activities relating to merger and acquisition transactions undertaken by the Company and in the execution of corporate finance led mandates.
    • Work on a wide range of strategic projects involving partnerships, investments into the company, and strategy for product and geographical expansion and be responsible for scoping, developing, delivering, and implementing them.
    • Assists in the development of a comprehensive business plan which articulates the organization’s pre-aligned targets and communicates outcomes/ recommendations to the IRM and GM GCD.
    • Reviewing of market & industry trends to develop business insights and evaluate the impact upon the organization’s current and future performance
    • Keep track of key developments as well as best practices to continually identify new ideas, tools and trends that could provide opportunities

    Operational

    • Serves as Project Manager/ GCE office Liaison on key Corporate Development & Strategic Initiatives Projects for the Group, corporate development, and the GCE’s office
    • Assists the IRM in executing the Group Corporate Development program and operating plan.
    • Responsible for the preparation of financial analysis and data for Corporate Finance (CF) initiatives and transactions. Serve as focal point on all Corporate Finance analysis and financial models’ development.
    • Develops plans, forecasts, and analyses for strategic initiatives and ad hoc projects, including new business lines/markets/products analysis, strategic decision-making in day-to-day operations, and other growth initiatives.
    • Monitors operational changes through ongoing contacts with company management, and develops corporate presentation and material based on these changes
    • Preparation of periodic project reports, tracking the status of all projects and issues encountered
    • Assists the various divisions in the preparation, and periodic updates of budgets and forecasts, and in collating, and interpreting results for Group leadership purposes.
    • Monitor key financial performance indicators of various divisions based on approved forecasts.
    • Actively manage various databases and applications including comparable companies and related transactions databases, treasury, cashflow and liquidity reports, etc.
    • Conduct financial statement analysis of target companies and comparable companies.
    • Conduct research, and where necessary, due diligence with regards to potential buyers/investors / takeover targets for potential M&A activities.

    Job Specification

    • 1st degree in Business Administration, Economics, or other finance related area
    • Minimum 3years combined post qualification experience in a finance related field (experience in Corporate Finance or investment banking is an added advantage).
    • High proficiency in financial modelling techniques. CFA qualification (achieved or in view) is an added advantage.
    • Clear understanding of financial statements and capital markets
    • Sector knowledge of the oil and gas industry, renewables and the minerals extraction industry will be an added advantage
