We are seeking a proactive and detail-oriented Legal & Governance Lead to provide legal, regulatory, and governance support across Axxela entities. The role will oversee contracts, legal risk management, regulatory engagement, and dispute resolution, while supporting strategic initiatives such as mergers and acquisitions, project development, and market expansion.
Duties and Responsibilities:
Implements best practices for legal services on assigned transactions.
Provide high quality and comprehensive legal advice, prepares and reviews legal opinions and agreements as may be requested of users from time to time.
Participate in commercial negotiations on transactions involving Axxela and its subsidiaries and draft, review and summarize key provisions in respect of commercial agreements and obtain necessary internal approvals.
Provide comprehensive legal advice to Axxela Entities on the legal implications of proposed policies, decisions and actions (in areas including, but not limited to midstream gas, mergers and acquisitions, power, employment law, contracts, litigation, leases, regulatory compliance and intellectual property matters).
Provide updates on and interpretation/application of new laws/regulations to the various Axxela internal teams/departments with and make recommendations to management with respect to necessary action required.
Provide dispute resolution management support to the Axxela Entities and work with Legal Manager in handling Axxela’s litigation and other dispute resolution management, as may be required from time-to-time.
Liaise with external solicitors and obtain regular updates on ongoing litigation.
Provide comprehensive support for Corporate Secretarial & Compliance aspects of corporate transactions & other special projects such as acquisitions, board evaluations or other strategic transactions.
Provide strategic support to strengthen the corporate compliance function through identification & implementation of required improvements in the compliance program design.
Provide support in drafting board papers, resolutions and other documentation to assist with the decision-making process of the Board and the implementation of Board decisions.
Draft basic letters, files and archives legal documents and case folders.
Maintains and periodically updates electronic and paper databases maintained by the legal department.
Work with the Axxela Finance team to ensure prompt settlement of all legal bills.
Performs other assigned duties as delegated by the General Counsel and Company Secretary or Legal Manager from time to time.
Requirements
First degree in Law from a recognised university, with a minimum of a second-class grade.
Minimum of 7 years’ legal work experience either from a reputable law firm or within the Legal.
Department of a reputable and structured business environment.
Strong customer service orientation and interface skills.
Ability to perform legal analysis.
Strong & effective business communication (verbal and writing skills).
Ability to plan and execute complex assignments.
Demonstrated business acumen and superior judgment.
