    Secretary

    We are seeking a secretary who will be an essential part of the legal and compliance teams, providing vital support for the bank’s operations. With a solid background in legal principles, the secretary will ensure smooth and efficient administrative functions.

    This role demands high accuracy, confidentiality, and the ability to work independently. The secretary will play a key role in organizing processes, thereby upholding the bank’s dedication to regulatory compliance and innovative practices within the mortgage banking sector.

    • Assist in the planning and coordination of board and committee meetings by preparing agendas, compiling relevant materials, and recording accurate meeting minutes
    • Assist in preparing and organizing legal documents and correspondence.
    • Maintain confidentiality of sensitive information.
    • Handle basic clerical tasks such as photocopying, faxing, filing, and data entry.
    • Sort and distribute incoming mails and prepare outgoing mails

    Requirement

    • Bachelor\'s or HND degree in Law or related field.
    • Must have between 5-7 years’ experience with a focus on mortgage banking or related financial services. 
    • Professional certification from a recognized body (e.g. CICSRN or NIPS).
    • Strong understanding of legal terminology and procedures.
    • Excellent written and verbal communication skills.
    • Proficiency in MS Office Suite and transcription software.
    • Attention to detail and ability to work independently.
    • Must be Assertive and Flexible.
    • Manage and update filing systems, both physical and electronic.
    • Provide general administrative support to the legal team.

    Junior Fund/Portfolio

    The role is responsible for managing investment portfolios, crafting investment packages, focusing on mortgage-backed securities, and managing clients’ transactions and relationships while ensuring the portfolio\'s performance aligns with investment goals. 

    Portfolio Management

    • Oversee investment portfolios with a focus on mortgage-related assets, including MBS, real estate investment trusts (REITs), and other fixed-income products.
    • Ensure portfolio alignment with investment objectives, risk tolerance, and regulatory requirements.

    Investment Strategy Development

    • Monitor the financial markets, interest rate movement, economic trends, and company performance to assess the suitability and performance of the fund’s existing investments and potential investments
    • Construct successful investment portfolios and strategies informed by market conditions  

    Risk Assessment and Mitigation

    • Evaluate credit, interest rate, prepayment, and liquidity risks associated with mortgage investments.
    • Implement strategies to hedge against risks using derivatives or other financial instruments.

    Performance Monitoring

    • Evaluate asset quality and performance metrics of underlying mortgages.
    • Prepare and present periodic performance reports to stakeholders, including investors and senior management.
    • Track and analyze portfolio performance against benchmarks

    Market Research Analysis

    • Conduct in-depth research on mortgage-backed securities, property markets, and borrower profiles.
    • Stay updated on macroeconomic indicators affecting mortgage investments.

    Stakeholder Communication

    • Prepare and present periodic performance reports to stakeholders, including investors and senior management.

    Job Requirements

    • Bachelor’s degree in Finance, Accounting, Economics, or a related field. A professional certification (e.g., ACCA or ACA) is an added advantage.  
    • 5–7 years of proven experience with a background in stock brokerage
    • A good understanding of mortgage-backed securities (MBS), collateralized mortgage obligations (CMOs), and structured finance.
    • Must have a good understanding of the Capital Market
    • Ability to trade in different instruments
    • Marketing ability is an added advantage
    • Familiarity with financial modeling and valuation techniques for mortgage assets.
    • Expertise in analyzing complex financial data and market trends.
    • Proficiency in risk assessment tools and quantitative analysis.
    • Awareness of relevant regulations (e.g., SEC, CFPB, Basel III) impacting the mortgage industry and investment portfolios.
    • A good understanding of interest rate dynamics and their impact on mortgage assets.

    Junior Legal Counsel

    We are seeking a meticulous and proactive Junior Legal Counsel to join our legal team. The ideal candidate will have a strong background in property law, corporate secretarial practices, and regulatory compliance. This role will play a critical part in managing land title documentation, ensuring compliance with regulatory filings, and supporting the bank\'s operations from a legal perspective. Your contributions will not only help mitigate legal risks but also enable the seamless execution of transactions and operational processes, ensuring the bank maintains its reputation for excellence and integrity.

    Job Responsibilities

    Land Title Documentation

    • Assist in the perfection and registration of mortgage and land title documents, ensuring all processes comply with applicable laws, regulations, and industry standards.
    • Conduct thorough due diligence on property documents to verify ownership, identify potential risks, and provide recommendations to mitigate any legal or financial exposure.
    • Serve as a key liaison with land registries, surveyors, law firms, and other professionals involved in the title perfection process to ensure the timely completion of all related tasks.
    • Maintain an organized system for tracking and managing land documentation to support the bank’s mortgage and lending operations effectively.

    Secretarial Support

    • Ensure the proper maintenance and updating of statutory records and registers in line with the requirements of the Companies and Allied Matters Act (CAMA) and other relevant regulations.
    • Support the implementation and monitoring of the bank’s corporate governance practices, ensuring that policies and procedures are adhered to consistently.

    Regulatory Compliance

    • Prepare, file, and monitor statutory returns with the Corporate Affairs Commission (CAC), including annual returns, changes in directorships, share allotments, and other corporate filings.
    • Monitor and stay abreast of changes in regulations and compliance requirements, providing recommendations and implementing processes to ensure the bank meets its obligations.
    • Collaborate with internal teams to ensure the bank complies with regulatory audits and inspections by preparing and providing all required documentation and information.
    • Develop and maintain an up-to-date compliance calendar to ensure timely submission of filings and adherence to deadlines.

    Legal Support and Advisory

    • Review, draft, and negotiate loan agreements, collateral documents, and other legal contracts related to the bank’s mortgage operations, ensuring that all agreements align with legal and organizational standards.
    • Provide expert legal advisory services on routine and complex matters, including property transactions, litigation, dispute resolution, and risk management strategies.
    • Conduct legal research to identify, analyze, and interpret laws, regulations, and industry standards relevant to the bank’s operations, offering actionable insights to support decision-making.
    • Act as a legal resource to other departments, offering guidance and training to ensure organizational compliance and risk mitigation across all business units.

     Job Requirements

    • Bachelor’s degree in Law (LL.B) and a Call to the Nigerian Bar (B.L).
    •  5–7 years of relevant post-call experience, preferably in a financial institution, real estate or related sector.
    •  Strong knowledge of Nigerian property laws, company secretarial practices, and regulatory compliance.
    • Proficiency in handling land documentation and CAC filings.
    • Excellent drafting, communication, and organizational skills.
    • Ability to multitask, meet deadlines, and work in a fast-paced environment.
    • High level of integrity, discretion, and professionalism.
    • Strong understanding of financial services industry regulations.
    • Experience in corporate governance and stakeholder management
