    Role Summary

    • The Group Head, Marketing & Corporate Communications will lead the Group's marketing, brand management, corporate communications, public relations, and reputation strategy across all subsidiaries.
    • The role is responsible for strengthening the Group's market position, supporting commercial growth, enhancing stakeholder confidence, and positioning the company as a leading industrial and steel manufacturing brand in Nigeria and Africa.

    Key Responsibilities

    • Develop and execute the Group's brand, marketing, and corporate communication strategy, ensuring consistent brand positioning and messaging across all subsidiaries and communication channels.
    • Design and implement integrated B2B marketing campaigns that drive lead generation, product awareness, market activation, and support sales growth across the construction, infrastructure, government, and industrial sectors.
    • Lead internal and external communications, including corporate announcements, annual reports, ESG communications, investor communication support, and employee engagement initiatives.
    • Manage media relations, public relations, executive profiling, press releases, interviews, and thought leadership while strengthening the Group's reputation within the industrial sector.

    Group Company Secretary & Head, Corporate Governance

    Job Description

    • The Group Company Secretary & Head, Corporate Governance serves as the principal governance adviser to the Board and Executive Management, providing strategic leadership for corporate governance, board affairs, statutory compliance, corporate secretarial services, shareholder relations, and governance oversight across the Group and its subsidiaries.
    • The role ensures compliance with applicable laws, governance codes, and regulatory requirements while promoting transparency, accountability, ethical leadership, and effective Board decision-making.

    Key Responsibilities

    • Serve as Secretary to the Board and Board Committees by coordinating meetings, preparing Board calendars, agendas, Board papers, minutes, resolutions, and tracking implementation of Board decisions.
    • Develop, implement, and continuously improve the Group's corporate governance framework, policies, Board charters, governance manuals, and governance standards across all subsidiaries while driving governance audits, compliance reviews, and best practices.
    • Oversee all corporate secretarial activities, including statutory filings, maintenance of statutory registers and corporate records, company registrations, execution of legal documents, and coordination of Annual General Meetings (AGMs) and shareholder meetings.

    Job Description

    Group Executive Director, Finance

    About the Role

    • We are seeking an accomplished Group Executive Director, Finance (GED-F) to provide strategic financial leadership across a diversified Holdings Group operating in the steel manufacturing, mining, and energy sectors.
    • Reporting directly to the Group CEO, the successful candidate will drive the Group's financial strategy, capital allocation, investment decisions, financial governance, and long-term value creation while partnering with the Board and Executive Leadership Team.

    Key Responsibilities

    Group Head, Tax, Risk & Compliance

    Role Summary

    • The Group Head, Tax, Risk & Compliance will provide strategic leadership for the Group's tax, enterprise risk management (ERM), regulatory compliance, governance, and insurance functions across its steel manufacturing, mining, and energy businesses.
    • The role is responsible for ensuring tax efficiency and statutory compliance, strengthening enterprise risk governance, maintaining ethical and regulatory standards, and advising Executive Management and the Board on tax, risk, and compliance matters.

    Key Responsibilities

    • Develop and implement the Group's tax strategy, ensuring compliance with Nigerian and applicable international tax laws while optimizing tax efficiency across corporate income tax, VAT, WHT, transfer pricing, customs duties, royalties, sector-specific levies, and available tax incentives.
    • Lead tax planning for major business decisions including mergers & acquisitions, restructurings, capital projects, cross-border transactions, and investment initiatives while managing tax audits, disputes, and relationships with FIRS, SIRS, Customs, and other regulatory authorities.
    • Oversee transfer pricing compliance, Country-by-Country Reporting (CbCR), OECD/BEPS requirements, Master and Local Files, and monitor emerging global tax developments affecting the Group.
    • Design, implement, and continuously improve the Group Enterprise Risk Management (ERM) framework in line with ISO 31000/COSO standards, including risk identification, assessment, mitigation, business continuity planning, crisis management, scenario analysis, and maintenance of the Group Risk Register.
    • Ensure full compliance with all applicable laws, regulations, permits, and licence governing the group's steel manufacturing, mining, and energy operations including those issued by the Ministry of Mines & Steel Development, Nigerian Upstream Petroleum Regulatory Commission (NUPRC), Nigerian Electricity Regulatory Commission (NERC), Securities & Exchange Commission (SEC), and Corporate Affairs Commission (CAC).
    • Identify and pursue legitimate tax incentives, pioneer status benefits, free zone advantages, and investment allowances available to the group's industries under the Companies Income Tax Act (CITA), Petroleum Industry Act (PIA), Mining Act, and relevant regulations.
    • Ensure compliance with all statutory, environmental, industry, and corporate governance regulations across the Group's manufacturing, mining, and energy operations, including regulatory filings, permits, licences, AML, Anti-Bribery & Corruption compliance, and regulatory reporting.
    • Drive a strong culture of ethics, governance, and compliance by managing the Group Code of Conduct, whistleblowing framework, compliance policies, staff training, and governance advisory to Executive Management and the Board.
    • Oversee the Group's insurance programe, including policy renewals, risk financing strategies, claims management, and optimization of insurance coverage across all operations.
    • Prepare Board reports, risk dashboards, compliance updates, and tax advisory papers while maintaining strong relationships with regulators, external auditors, legal advisers, consultants, and government agencies.
    • Lead, mentor, and develop the Tax, Risk & Compliance team, establish performance standards, and strengthen compliance capabilities across all subsidiaries.

    Requirements

    • Bachelor's Degree in Law, Accounting, Finance, Economics, or a related discipline (minimum Second Class Upper). Master's degree (MBA, LLM, Taxation, Finance, or related field) is an advantage.
    • Professional qualification such as CITN, ACA, ACCA, IRM or equivalent is mandatory. Additional certifications in Compliance (ICA, CAMS, etc.) are advantageous.
    • 12–18 years' progressive experience in Tax, Enterprise Risk Management, and Regulatory Compliance, with at least 5 years in a senior leadership role within a large manufacturing, mining, energy, industrial, or conglomerate environment.
    • Strong expertise in Nigerian tax laws, transfer pricing, enterprise risk management frameworks, regulatory compliance, corporate governance, and stakeholder engagement with regulatory authorities. Experience in at least two of the following sectors is highly preferred: Steel Manufacturing, Mining, Oil & Gas, or Energy/Power.
    • Demonstrated experience managing regulatory relationships, tax audits, external advisers, and Board-level reporting within a multi-subsidiary organization.
