    Senior Associate, Deals

    Job Description & Summary

    • At PwC, our people in deals focus on providing strategic advice and support to clients in areas such as mergers and acquisitions, divestitures, and restructuring. They help clients navigate complex transactions and maximise value in their business deals.
    • In transaction services at PwC, you will provide strategic advice and support to clients in their mergers, acquisitions, and divestitures. Your work will include conducting due diligence, financial analysis, and managing the transaction process.
    • As a Senior Associate, you will work with leading companies across industries, supporting mergers, acquisitions, divestitures, and capital market transactions. You'll conduct deep-dive analyses that validate the financial, commercial, operational, and strategic assumptions behind high-impact deals—delivering clarity and confidence to our clients.

    Key Responsibilities

    • Conduct comprehensive financial due diligence for both acquisition and divestiture transactions. Assess the quality of earnings, working capital trends, cash flows, and key financial assumptions.
    • Analyze large volumes of financial data from client systems and third-party sources to uncover key patterns, risks, and opportunities. Translate complex data into clear, actionable insights.
    • Prepare draft detailed due diligence reports and presentations that highlight key findings, risks, and value drivers. Deliver findings to internal stakeholders and external clients with clarity and confidence.
    • Liaise directly with clients to understand their transaction goals, address queries, and provide strategic recommendations. Build long-term trusted relationships through consistent delivery and professionalism.
    • Collaborate with cross-functional deal teams such as tax, legal and strategy consultants and client stakeholders to ensure cohesive and holistic analysis across all dimensions of a transaction.
    • Conduct deep dives into industry trends and competitive landscapes to support deal rationale and validate assumptions underpinning the business case.
    • Identify key financial risks, such as revenue concentration, margin sustainability, or contingent liabilities, and provide recommendations for mitigation.
    • Assist clients with integration planning, carve-out strategies, and performance monitoring during post-merger phases.
    • Conduct business and asset valuations using DCF, market approach and other techniques to arrive at the estimated value.
    • Prepare financial models and sensitivity analyses.
    • Assist in fairness opinions and investment appraisals
    • Perform audit support work including the review of purchase price allocations, goodwill impairment assessments and private equity portfolio company valuations.

    Requirements
