    Legal & Trust Officer

    Key Responsibilities

    • Draft and review contracts such as Trust Deeds, Investment Management Agreements, Custodian Agreements, and Service Level Agreements.
    • Ensure compliance with relevant regulations including ISA, SEC Rules, CAMA 2020, and AML laws.
    • Provide legal advice on fund structuring, licensing, investments, and corporate governance.
    • Liaise with regulators (SEC, NGX, SCUML, NFIU) and assist with timely regulatory filings.
    • Support corporate governance processes including Board meetings and statutory filings.
    • Monitor regulatory developments and advise internal stakeholders accordingly.
    • Manage legal documentation for property transactions and securities perfection.
    • Assist in trust administration and performance monitoring of retail and corporate trust products.

    Experience: 

    • Candidate must possess a minimum of 2 years post-graduation experience in: 
    • Financial services, asset management, or regulatory institutions such as the SEC, with a focus on legal advisory and regulatory compliance.
    • Drafting and reviewing a wide range of legal agreements, including Trust Deeds, Investment Management Agreements, and Custodian Agreements.
    • Handling regulatory filings, liaising with bodies like SEC, CAC, and SCUML, and ensuring compliance with ISA, CAMA 2020, and AML regulations.
    • Trusteeship operations, property-related legal documentation, and the perfection of securities.
    • Corporate governance support, litigation monitoring, loan recovery, and working collaboratively with internal and external stakeholders.

    Qualifications

    • Bachelor of Laws (LL.B) and Barrister at Law (BL) qualification.
    • 2–5 years of post-call experience in a financial services firm, law firm, or regulatory body.
