The Incumbent will be tasked with ensuring effective and efficient management of the Legal Department, provision of legal advisory services and ensuring effective management of legal and contractual risks.
S/He will also be responsible for managing the MIS process from legal perspective and coordinate all legal activities in concert with the local laws and other statutory body’s requirements.
As the Head Legal Services, the incumbent will be responsible at Group level for all legal related activities and represent the group in all legal matters at state and national levels.
Responsibilities
Provide leadership to the legal team, review and advise on all legal matters including ongoing cases as asked
Liaise with BUs / deptts to ensure that all legal risks are identified and appropriate actions taken
Provide and interpret legal information and disseminate appropriate legal requirements to staff
Review and advise management on legal implications of internal policies and procedures
Review and draft contracts, agreements and internal policies and ensure that these are in compliance with all statutory or legal requirements of all group companies
Review progress of outstanding litigation and liaise with and manage external lawyers
Continuously monitor and ensure compliance with statutory obligations and advise the management accordingly
Review all contracts and other documents where the Company has committed itself and assess legal implications that need to be brought to the management’s attention.
Arbitration & Mediation services
Organise and prepare agendas and papers for board meetings, committees and annual general meetings (AGMs), take minutes, draft resolutions, and lodge required forms and annual returns with Companies House and follow up on actions from meetings
Maintain statutory books, including registers of members, directors and secretaries, correspondence, write reports
Monitor changes in relevant legislation, dividends, share option, pension scheme, code of conduct, ethical standards, document safety and security
Legal & Secretarial risk assessment and mitigation for all group companies and territories where group operates.
