REPORTING TO: The head of the business advisory, foreign investments and regulatory compliance department, together with the partners of the corporate commercial department
ROLE SUMMARY:
We are looking for a highly capable and motivated Senior Associate to deliver comprehensive company secretarial services, provide guidance on corporate governance matters, and support our Corporate Commercial team on a variety of transactional and advisory assignments.The role demands strong technical expertise, sound commercial judgment, effective client management, and the ability to supervise junior lawyers while ensuring the timely delivery of high-quality legal services.
JOB DESCRIPTION/RESPONSIBILITIES
Company Secretarial & Compliance
- Provide company secretarial support and ensure compliancewith statutory and regulatory obligations
- Prepare and file corporate documents, including resolutions, and annual returns
- Maintain statutory books, registers, and corporate records
- Organize, attend board and general meetings, including agenda preparation and minute- taking
- Prepare board and shareholder resolutions, notices, and meeting documentation
- Engage with regulators on behalf of clients and provide proactive advice on regulatory developments and compliance matters.
Corporate Governance Advisory
- Advise clients on governance frameworks, board structures, and best practices
- Draft and review governance documents, includingboard charters, committee terms, and internal policies.
- Provide guidance ondirectors’ duties, fiduciary and complianceobligations, and governance risks.
- Support governance reviews, audits, board evaluations, and compliance assessments.
- Monitor regulatory developments and provide proactive client updates
Corporate/Commercial Legal Support
- Draft, review, andnegotiate a wide range of commercial agreements
- Support transactions, including M&A, restructurings, investments, and joint ventures
- Conduct and supervise legal due diligence
- Prepare transaction documentation and closing deliverables
- Provide ongoing corporate advisory support to clients
Client & Matter Management
- Serve as the primary contact for assigned clients, managing routineand ongoing matters efficiently.
- Provide timely, practical, and commercially sound legal advice.
- Build and maintainstrong client relationships while efficientlymanaging multiple matters to meet agreed timelines.
- Identify opportunities to expand the scope of services to existing clients.
Team Leadership & Business Development
- Supervise and mentorjunior associates and trainees, delegating tasks effectively and reviewing work to ensure quality.
- Support internal training, knowledge-sharing, and capacity-building initiatives within the team.
- Drive businessdevelopment and thought leadership by supporting client pitches, proposals, presentations, and delivering workshops or seminars at industry events.
- Identify strategic opportunities to enhance client engagement and develop new business avenues.
- Contribute to thought leadership through articles, briefings, and seminars.
- Participate in client engagement and networking initiatives to support practice growth and visibility in the corporate/commercial space.
QUALIFICATIONS & COMPETENCES:
- Bachelor of Laws (LL. B) from a recognized university, Masters of Laws (LLM) optional.
- Called to the Nigerian Bar (Barrister & Solicitor of the Supreme Court of Nigeria) and completed NYSC.
- Membership in relevant professional bodies (e.g., ICSAN Chartered Secretaries) is an advantage.
- Proven experience in company secretarial services and corporate governance advisory.
- Up-to-date awareness of regulatory developments and ability to provide proactive guidance
- Strong knowledgeof corporate and commercial law.
- Ability to provide practical, client-focused legal advice.
- Transactional experience, including drafting and negotiating commercial agreements andsupporting corporate deals (M&A, restructurings, investments, joint ventures etc.).
- Excellent client relationship and stakeholder management skills
- Experience supervising,mentoring, and developing junior lawyers
- Ability to manage multiple matters efficiently while delivering high-quality work on time
- Contribution to businessdevelopment and thought leadership, including pitches, proposals, client presentations, and industry events.
- Strong analytical, problem-solving, and risk assessment skills.
- Excellent verbal and written communication, including preparing board papers, reports, and legal documentation.
- Skilled in Microsoft Office Suite (Word, Excel, PowerPoint), legal research platforms, and emerging AI tools for document drafting, review, and workflow efficiency
