The Legal Counsel Commercial is to support the Associate General Counsel (Corporate & Compliance) in providing proactive, first-class, business-minded legal advice on the Business Finance & Tax, Corporate & Project Finance aspects of the business.
Construct and manage the legal framework for delivering the liquidity targets for financing the Group’s
Construct creative and integrated solutions to a wide range of highly sensitive / confidential, novel and/or complex problems or challenges facing the Group, which cut across operational, commercial, governance, compliance, stakeholder management and legal risk management issues.
Brainstorm with the Business and navigate them through the legal structure and documentation for business ventures that are first of its kind for the Company or in Nigeria
Build an integrated legal framework and action plan for efficiently delivering the transformational targets of the Group, using the best global practice to ensure high quality results.
Support the Associate General Counsel (Corporate & Compliance) in proactively monitoring and mitigating legal and regulatory risks, internal and external red flags for the Company and actively uphold the Company’s governance framework and ensure business continuity.
Requirements
B.L / LLB
Professional Qualification in Law
At least 10 years’ experience post-call.
Strong expertise in drafting, reviewing and negotiating agreements for complex transactions across the Corporate & Project Financing value chains, and with local and international private/government parties.
Ability to drive the legal aspects of, and manage complexities and ambiguities arising within, an entire project/transaction value chain (i.e., from deal structuring to post-completion.
Working knowledge of the evolving local and international ESG and including the Legal issues and obligations faced by mid-size Oil & Gas Company with dual-listing status.
Act as key resource and provide expert legal advice and support for E&P operations across Drilling, Production and Maintenance Operations, HSSE, Base and Community Operations, etc.
Support the AGC E&P to provide proactive and strategic legal advice to the Board of Directors, Executive Management Team, and other clients on legal risks affecting the organization’s operations, as well as enterprise level risks and mitigations around projects/transactions/strategies.
Assist the AGC E&P in providing sound legal advice and support for strategic commercial operations e.g. custody transfer, crude transfer, handling and unitisation agreements, and other contracting matters in the E&P Departments, and general business advisory to guide the development, interpretation, and review of all organization’s contract management and corporate policies.
Assist the AGC E&P in the development and implementation of a Corporate Governance Framework that ensures that stakeholder integrity is protected and optimally managed. Assist the AGC E&P in championing the implementation of the Code of Conduct, Business Ethics and Compliance, Business Records Management and related corporate governance matters for the E&P internal clients, including Lands, HSSE, Base and Community.
Provide due diligence on all upstream transactions that portend legal, commercial and or reputational risks e.g. acquisitions, divestitures within the E&P departments. Support work at the strategic level in M&A projects and participate in the provision of appropriate legal documentation to provide M&A projects from the pre-deal stage of valuation through to post-merger /acquisition integration.
Requirements
Bachelor’s Degree in Law, MBA/ LL.M.
Over 15 years post-call experience (at least 10 years in E&P experience with 8 years in a managerial capacity) with a mid-sized or major E&P operation or law firm.
High degree of self-sufficiency
