    Head of Legal and Compliance

    The Head of Legal & Compliance will provide executive leadership and strategic direction for all legal, compliance, contractual, corporate governance and regulatory affairs of the company. Ensures legal protection of company assets, contract risk mitigation, alignment with ISO standards, ethical governance practices, and effective legal advisory to management and board.

    Key Responsibilities:

    • Lead the Legal & Compliance Department, define strategy, oversee contract review, corporate governance, regulatory compliance and legal risk management.
    • Provide legal advisory to the Managing Director, Executive Leadership, Board of Directors, and project teams on corporate, commercial and regulatory matters.
    • Oversee drafting, negotiation and approval of major contracts, EPCIC, JV agreements, investment agreements, financing contracts, high-value procurement.
    • Ensure company-wide compliance with laws, regulations (CAMA, Labour Act, Petroleum Regulations, NUPRC, NCDMB), ISO 9001/14001/45001 standards and NDPR data protection.
    • Manage regulatory relationships, CAC, NIPEX, DPR/NUPRC, NSITF, PENCOM, ITF, FIRS, EFCC-SCUML, local content boards.
    • Oversee litigation, arbitration, dispute resolution, appoint external counsel, manage legal budget, approve filings, evaluate legal risks and settlement strategies.
    • Serve as Company Secretary to the Board, prepare board meeting packs, resolutions, minutes, statutory registers, CAC filings and governance documentation.
    • Present monthly legal reports, contract risk dashboards and compliance updates to MD/Executive Management.

    Qualifications & Experience:

    • LL.B., B.L (Call to Nigerian Bar). Master’s degree (LL.M, MBA, Corporate Governance) is an advantage.
    • 10–12+ years post-call legal experience, including 3–5 years in managerial/Head of Department roles (oil & gas/EPC is preferred).
    • ICSAN (Chartered Secretary), Chartered Institute Arbitrators UK (CIArb) qualifications , are advantageous
    • Corporate/commercial law, contract risk management, oil & gas legal frameworks, arbitration, leadership, board governance.
    • MS Office, Legal Management Systems, NIPEX Platform, CAC E-filing, Oracle Contract Management Module.
