Company Secretary at Human Capital Partners (HCP)

Job Summary

• We are seeking an experienced and highly skilled Company Secretary to join our team in the banking sector. This role is critical in ensuring strong corporate governance, regulatory compliance, and effective board administration within the organization.
• The Company Secretary will be responsible for ensuring the company complies with all statutory and regulatory requirements while supporting the Board of Directors in delivering effective governance and decision-making processes.

Key Responsibilities

• Provide guidance on corporate governance best practices and regulatory requirements
• Organize and coordinate Board and Committee meetings (AGMs, EGMs, Board Committees)
• Prepare and circulate board agendas, minutes, and resolutions
• Ensure compliance with regulatory bodies such as CBN, SEC, CAC, and NGX
• Maintain statutory records and corporate documentation
• Advise the Board and senior management on legal and governance matters
• Liaise with regulators, auditors, and external stakeholders
• Monitor implementation of Board decisions and resolutions.

Requirements

• Bachelor’s degree in Law, Accounting, Business Administration, or related field
• Professional qualification (ICSAN, ACA, ACIS, or equivalent) is an added advantage
• 8–10 years relevant experience in corporate governance or company secretariat role (preferably in banking or financial services)
• Strong knowledge of regulatory frameworks (CBN, SEC, CAC requirements)
• Excellent communication, organizational, and stakeholder management skills
• High level of integrity, discretion, and attention to detail
