Leveraging external legal counsel as necessary, develop and implement:
Policies and procedures designed to facilitate the company’s compliance with applicable legal and regulatory obligations (“Policy Framework”).
A training programme including regular (e.g. annual) and new-starter training on the company’s policies, and ad hoc training on relevant legal and/or regulatory developments (“Training Programme”).
A monitoring programme, designed to test management and staff compliance with the Policy Framework and provide written reports to the board
Ensure compliance with labour laws, organisational policies, internal and external risk management
Lead country-wide Corporate Governance activities, providing coaching, mentoring and advice to management and staff
Develop annual Compliance program – companywide and provide periodic report to the board of relevant developments and recommended changes to the Compliance Programme as needed
Monitor legal and regulatory developments relevant to the company’s business activities and identify amendments to the Compliance Programme as required, to facilitate compliance across the company.
Monitor for compliance with approved Governance activities such as the Gifts and Entertainment policy.
Delegations of Authority policy as approved by the Board of Directors.
Receive and investigate whistle blower reports and report findings to Chief Compliance Officer and Head of Risk.
Provide quarterly report for submission to the Compliance Committee of the Board of Directors on performance of compliance programs, key findings and status of implementation of recommendations and whistle-blower reports.
Monitor for compliance with the UK Bribery Act, FCPA and Nigeria Anti-Corruption Legislations.
Provide management and staff with guidance on the Compliance Programme, including relations to new business, products, initiatives and projects.
In conjunction with management, establish and promote a culture of compliance and integrity, including through the Compliance Programme.
Support the company in developing and maintaining a positive reputation through the Compliance Framework, including emphasising the importance of compliance with applicable laws and regulation and acting with integrity.
Responsible for the daily supervision, performance and career development of compliance staff
Lead the annual certification process, training programmes, "lunch and learns", creating cultural awareness and compliance through a variety of process and practices.
Job Requirements
12 years’ experience with at least 3 years in a leadership role.
University Degree
Must possess effective relationship management skills.
Ability to influence staff, business and finance leaders across the group to facilitate an effective internal control framework environment.
Knowledge of Joint Ventures and effective management of internal control in a pro-active manner with all operators.
Must be strong-willed and firm
Working knowledge and experience of Corporate Governance practices and their successful implementation in multiple countries.
