    Head, Legal and Corporate Services

    Description:

    The Head, Legal & Corporate Services, leads the Legal, HCM, Procurement, and Services units of the Group. He/She oversees the development of the legal and compliance strategy for HG and provides advisory and legal drafting/review services for business entities within the Hanein group.  The position incumbent provides transaction and operational support and practical advice, geared towards the effective and efficient management of the risks and legal needs of each transaction/assignment handled. He/She liaises with regulatory bodies and relevant third parties in ensuring that HG applies the highest level of compliance on all levels. He/She is responsible for the provision of timely advice/guidance to HG Management together with the management of compliance processes and procedures applicable to HG. He/She supports the efforts of the CEO to determine how the workforce may best be managed and motivated, and their capabilities developed to enable the achievement of the Company’s Vision, and to support business growth, operating efficiency and effectiveness targets.  The role, in addition, leads the envisioning, conceptualization, design, development and delivery of corporate development and procurement initiatives and systems, structures, processes and policies.

    The incumbent is responsible for daily transaction processing e.g. as it relates to the preparation and review of documents, legal opinions etc.  In addition, He/She coordinates administration support and handles time schedules, project work plan monitoring, status report preparation, project documentation and filing in addition to handling other responsibilities as may be assigned from time to time by the CEO.

    SPECIFIC DUTIES & RESPONSIBILITIES

    Legal & Compliance

    • Executes work/implements best practices for legal services on assigned transactions.
    • Processes legal transactions; prepares and reviews legal opinions, contracts and agreements as may be requested of users from time to time.
    • Provides comprehensive legal advice to employees on the legal implications of proposed policies, decisions and actions (in areas including, but not limited to employment law, contracts, litigation, leases, regulatory compliance and intellectual property matters).
    • Provides approriate responses to claims.
    • Writes letters, files and archives legal documents and correspondence.
    • Coordinates the maintenance and updating of the databases maintained by the legal department
    • Preparation of compliance documentation with relevant constitutive documents for statutory, legal, regulatory purposes.
    • Liaison with other companies within the Hanein Group, service providers, external legal advisors, local government, regulatory authorities (local and foreign) and relevant service providers in various jurisdictions.
    • Setting up companies, opening/closure of Bank accounts, Custody accounts, etc.
    • Maintenance and review of Legal Agreements.
    • Ensure business activities are conducted in conformity with all applicable laws, regulations, internal policies and procedures.
    • Serve as liaison for local and foreign regulators, legal bodies as well as maintaining relationships with relevant legal bodies and trade associations.
    • Ensure local and foreign regulatory permissions for HG remain current and appropriate for business needs.
    • Continual compliance risk assessment of company practices together with the development of internal policies and procedures, compliance training and protocols.
    • Keep abreast of regulatory developments and industry initiatives and advise HG Management accordingly.
    • Liaise with third parties, together with HG Management, that wish to understand HG’s control environment, compliance policies and procedures.
    • Provide reporting with respect to regulatory requirements and developments to HG Management.
    • Directly responsible for the day-to-day management and ongoing development of the HG Compliance Function.
    • Any other duties as required by HG Management.

    Procurement

    • Coordinate the company’s  Procurement  business plan, service delivery strategy and budgets
    • Develop and implement Procurement policies & procedures in line with the framework from the Group and shared services function.
    • Oversee the management of the Purchasing/Contracting process  as well as establishing procedures from requisition processing, final delivery of goods/services and maintaining adequate stock levels
    • Oversee the development and implementation of vendor performance management matrix and measure the performance of vendors
    • Ensure the development, motivation and performance of staff in the department

    Human Capital Management

    • Oversees manpower/human capability development and performance improvement systems deployments, providing needed support to the COO[DD1]  and the CEO and general management of the company with respect to the identification of required interventions, and the resolution of attendant issues.
    • Develops high impact capability development and human performance improvement strategies aligned with the Group’s overall strategic direction, and within the context of the specific performance aspirations and business plans of each entity which are obtained from reviews of business and individual performance reports.
    • Drives efforts to build a high performing team of leaders with thorough understanding and appreciation of corporate strategy, business/functional planning, operations, execution excellence, business performance management and people development requirements in ensuring that the Hanein Group attains its aspiration to maintain the highest standards of Integrity, Innovation, Excellence, Teamwork, Stewardship, Understanding & Respect in all of its daily interactions with its employees, customers, partners, and communities.  
    • Identifies, builds and manages relationships with high-value external Human Resource Management support organizations, in areas including Manpower Training and Development, Employee Relations, Compensation Strategy and Culture change.
    • Nurtures the relationship with the In-House and National Union Executives, where any, to ensure industrial harmony and peace, as well as effective partnership in the identification of business issues, development and implementation of appropriate solutions and achievement of high levels of employee morale, commitment and performance.
    • Supports the envisioning, conceptualization, design, development and delivery of HR initiatives and systems, structures, processes and policies.
    • Performs other duties as may be delegated by the CEO and/or COO from time to time.

    Services

    • Oversee the provision of adequate office support infrastructures, functional utilities and services for smooth business operations
    • Direct policy and procedure to guide the safety, use and maintenance of company assets
    • Develop and implement the company’s strategy in managing and monitoring facilities cost and other shared services cost

    Others

    • Ensure full compliance to Controls & Standards and HSE Policies. 
    • Lead formulation of relevant procedures and work plans with regards to implementation and monitoring in order to achieve full compliance to all HG policies as relating to HSE Controls & Standards and other regulatory / statutory requirements.
    • Liaise with HSE/ Corporate Security Manager, Security Consultant and State & Community Affairs Manager on all security issues at all locations.
    • Lead / assist in aggressive monitoring and auditing of HSE critical assets such as plants, Factories etc. to prevent all unsafe conditions and practices by employees and other stakeholders.

    • Adequate and effectiveness of HG’s corporate services plans in facilitating the attainment of business goals and objectives

    QUALIFICATIONS & EXPERIENCE

    • Minimum of 2:2 1st degree in Law; BL
    • 6 - 8 years legal work experience either from a reputable law firm or within the Legal Department of a reputable and structured business environment in a senior position
    • Ability to perform basic/general legal analysis
    • Strong & effective business communication (verbal and writing skills)
    • Ability to plan and execute complex assignments under pressure
    • Demonstrated business acumen and superior judgment
