    Manager, Corporate Finance

    Job Overview

    • The Manager, Corporate Finance will assist the Head, Corporate Finance in executing M&A strategies, handle financial modeling, and manage transaction execution.

    Key Responsibilities: 

    • Developing financial plans and strategies that align with the company's long-term goals. This includes analyzing market trends, identifying growth opportunities, and conducting risk assessments
    • Assist in the structuring, negotiation, and execution of mergers, acquisitions, and other strategic transactions.
    • Play a vital role in the M&A process, conducting due diligence, financial modeling, and negotiating deals to ensure successful transactions.
    • Capital Structure Management: Managing the company's capital structure which involves optimizing the mix of equity and debt financing to maintain a healthy balance between risk and return.
    • Investor Relations: Establishing and maintaining relationships with investors and analysts involving communicating financial performance and company strategy to stakeholders
    • Conduct financial analysis, including financial modeling, valuations, and due diligence for potential transactions.
    • Assist in providing corporate finance advisory services to the bank’s clients, including financial restructuring, project finance, and investment advisory.
    • Provide support in reviewing and analyzing clients' financial needs and structuring financial solutions to meet those needs.
    • Conduct in-depth financial analysis, projections, and stress testing to support business decisions
    • Prepare detailed financial reports, presentations, and investment memos for senior management and board approvals.
    • Support capital-raising initiatives, including debt, equity, and structured financing.
    • Engage with financial institutions, investors, and other stakeholders to explore funding options.
    • Prepare materials for investor presentations and financial proposals.
    • Assist in the preparation of key financial performance reports and presentations for senior management.
    • Monitor industry trends, economic conditions, and regulatory developments impacting corporate finance.
    • Support the identification and assessment of financial risks associated with corporate finance activities.
    • Ensure adherence to local and international regulatory standards for corporate finance and transactions.
    • Collaborate with risk management, legal, and compliance teams to ensure that all transactions and financial activities meet regulatory and internal risk management requirements.
    • Work closely with other team members within the corporate finance department and across other departments, such as legal, compliance, and risk management, to ensure the seamless execution of transactions.
    • Support the training and mentoring of junior team members, ensuring they develop the necessary skills for growth.
    • Financial Risk Management: Identifying and mitigating financial risks, such as currency fluctuations, interest rate risks, and market volatility, to protect the company's financial position.

    Requirements

    • Bachelor's degree in Finance, Economics, Accounting, or a related field.
    • Professional qualifications (such as CFA, ICAN, ACCA) or an MBA would be advantageous.
    • Minimum of 8-10 years of experience in corporate finance, investment banking, or related fields, with at least 3 years in a managerial or supervisory role.
    • Hands-on experience in financial modeling, valuations, mergers and acquisitions, and capital raising.
    • Strong financial analysis and problem-solving skills.
    • Excellent understanding of financial instruments, corporate finance strategies, and market dynamics.
    • Proficiency in financial modeling and the use of financial analysis tools.
    • Strong communication and presentation skills.
    • Ability to work independently and manage multiple projects simultaneously.
    • Risk management, regulatory compliance, and tax optimization 
    • Budgeting, forecasting, and project management skills 
    • Proficiency in financial software and ERP systems

    Head, Corporate Finance

    Job Overview:

    • The Head, Corporate Finance will Lead the Corporate Finance unit, oversee mergers and acquisitions (M&A) transactions, manage capital restructuring, and ensure alignment with strategic financial goals. 

    Key Responsibilities:

    • Provide strategic financial advice to the executive team and senior management on capital structuring, debt financing, and M&A opportunities.
    • Lead the execution of corporate finance transactions, including capital raising, acquisitions, divestitures, and financial restructuring.
    • Manage the full M&A lifecycle from initial identification, due diligence, negotiations, to closing transactions.
    • Oversee post-merger integration activities and ensure successful realization of synergies.
    • Develop and maintain financial models to support business valuation, capital raising, and investment decisions.
    • Perform in-depth financial analysis and feasibility studies to evaluate investment opportunities.
    • Lead fundraising activities including debt, equity, and hybrid instruments.
    • Build and maintain relationships with investors, financial institutions, and other external stakeholders to secure financing and support for corporate activities
    • Identify and mitigate financial and operational risks in corporate finance transactions.
    • Ensure compliance with regulatory requirements and corporate governance practices.
    • Lead and mentor the corporate finance team, fostering a high-performance culture.
    • Collaborate with other departments (Legal, Risk, Treasury, etc.) to ensure alignment on corporate finance initiatives.
    • Analyze quarterly reports for clients / investors and identify appropriate market trends for fund investments.
    • Prepare detailed reports, presentations, and proposals for the executive team and board of directors.
    • Provide regular updates on the progress of corporate finance projects and their impact on the bank's financial performance.
    • Oversee post-capitalization integration processes and performance tracking

    Requirements

    • Bachelor’s degree in Finance, Economics, Accounting, or a related field.
    • A Master’s degree in Finance, Business Administration (MBA).
    • Professional certification (e.g., CFA, ACCA) is highly preferred.
    • Minimum of 10-15 years of experience in corporate finance, investment banking, or financial advisory within the banking sector.
    • Proven experience in leading M&A transactions, capital raising, and financial advisory services
    • Proven track record of managing complex financial transactions and raising capital in competitive markets.
    • Certifications in financial modeling, forecasting, and valuation techniques.
    • In-depth knowledge of capital markets, corporate finance laws, and regulations.
    • Excellent analytical, negotiation, and presentation skills.
    • Strong leadership and team management abilities.
