The role holder will help to ensure that the relevant issues are subjected to objective and impartial consideration by the Board.

• Responsible for determining appropriate levels of remuneration for executive directors and have a prime role in appointing and where necessary removing, senior management and in succession planning  
• Provide positive contributions to the effectiveness of the Company's Board of Directors by making objective observations, where appropriate, based on their independence from the day-to-day running of the Company's affairs.
• Provide counsel to the Chief Executive Officer on matters of concern to the Company.

Qualifications
