    Lead Legal Officer

    JOB DESCRIPTION

    • Draft and Review loan documentation
    • Reviewing finance documents internally for credit and legal compliance.
    • Prepare and draft legal opinions as well as documents such as Contracts, Deeds of Assignment, Deeds of sale, Tenancy agreements, Lease agreements, Service level agreements, Cash collection agreements and Tech Agreements.
    • Liaising with external solicitors regarding the bank’s exposure, securities and collaterals
    • Providing requisite documentation needed by external solicitors.
    • Drafting and Preparing Petitions
    • Reviewing court processes and ensuring that same adequately protects the bank
    • Conduct searches at the various government agencies (Courts, CAC, Land’s Registry, Probates Registry etc.) to ensure the validity of documents presented in the bank. Register caution as well as Legal Mortgages and Equitable Mortgages on behalf of the bank.
    • Liaise with the bank's risk management to ensure the protection of the Bank’s assets.
    • Liaise with the recovery department and provide assistance where needed on the recovery of past-due obligations.
    • Minimizing the exposure of the bank, its affiliates and subsidiaries with all applicable laws.
    • Appear in court as a witness for pending matters where necessary.
    • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company/stakeholders

    Key Responsibilities

    • Regulatory Compliance: Ensure adherence to relevant laws, regulations, and industry standards.
    • Legal Advisory: Provide legal guidance to management and staff on banking operations, risk management, and regulatory issues.
    • Document Drafting: Prepare and review legal documents, contracts, and agreements.
    • Litigation Management: Assist in resolving legal disputes and representing the bank in court.
    • Research and Analysis: Conduct legal research and analyze regulatory updates.
    • Training and Awareness: Provide legal training and awareness programs for staff.
    • Compliance Monitoring: Monitor and report on compliance with legal and regulatory requirements.
