    Head, Legal and Corporate Services

    Role Overview

    • As the Head, Legal and Corporate Service, you will be the Company Secretary, In-House Legal Advisor, Compliance Officer, HR Lead, and a key contributor to Business Development across our three core industries: real estate, media, and technology.
    • This is a multidisciplinary role that requires legal expertise, critical thinking, negotiation skills, regulatory insight, and strong leadership capacity. You will report directly to the executive leadership and help shape policy, guide transactions, and protect the integrity of our operations.

    Key Responsibilities

    Company Secretary & Corporate Governance

    • Serve as the Company Secretary for Afrihood, Waywayves, and Boothark, ensuring timely board meetings, resolution filings, and corporate documentation.
    • Maintain statutory registers and coordinate compliance with CAC, SEC, and other regulatory filings.
    • Draft and manage internal governance documents, such as shareholder agreements, resolutions, policies, and board charters.

    Legal Compliance Across All Sectors

    Real Estate (Afrihood):

    • Conduct thorough legal due diligence on land and property acquisitions.
    • Handle land title registrations, governor’s consent, excision, C of O, deeds, and other instruments.
    • Navigate Lagos State Land Bureau and similar agencies across Africa.
    • Ensure regulatory compliance with building codes, zoning laws, town planning permits, and development approvals.
    • Draft, review, and negotiate contracts with vendors, consultants, and government agencies.
    • Resolve real estate disputes involving land encroachments, tenancy, construction liability, and property rights.
    • Advise on off-plan sales, joint ventures, leasehold structuring, estate governance, and buyers’ legal obligations.

    Media (Waywayves Media):

    • Ensure compliance with intellectual property laws, licensing agreements, broadcasting rights, and digital content regulations.
    • Review and vet media contracts, influencer partnerships, creative agency agreements, and distribution deals.
    • Manage regulatory engagement with bodies such as APCON, NBC, and COSON.
    • Address legal risks associated with advertising claims, media slander, data protection, and rights management.
    • Provide advisory on social media compliance, advertising standards, defamation risk, and client content usage rights.

    Technology (Boothark Technologies):

    • Draft and vet terms of service, privacy policies, data protection protocols, and user agreements.
    • Ensure compliance with Nigeria Data Protection Act (NDPA), GDPR (if applicable), and global data policies.
    • Manage legal risks in user-generated content, API integrations, e-commerce policies, and vendor disputes.
    • Handle IP protection for software, patents, and product branding.
    • Oversee tech startup obligations around KYC, payment gateway compliance, and cybersecurity regulations.

    Human Resource Compliance & Administration

    • Lead company-wide recruitment and onboarding processes, including employment contracts and labor classifications.
    • Manage workplace policies, disciplinary actions, employee documentation, and conflict resolution.
    • Oversee compliance with Nigerian Labour Law and applicable regional labor laws.
    • Design training programs, health and safety policies, and career development initiatives.
    • Ensure proper classification of workers (employee vs. independent contractor), especially for contract workers, media talent, and app developers.
    • Handle employment terminations, exit procedures, and severance negotiations.
    • Draft and enforce employee handbooks, HR policies, and workplace ethics frameworks.

    Business Development & Strategic Legal Advisory

    • Support land sourcing and negotiation for Afrihood's estate developments and urban projects.
    • Represent the company in deal negotiations, investor meetings, and partnership engagements.
    • Advise the executive team on the legal structure of strategic initiatives, fundraising, M&A activity, and joint ventures.
    • Contribute to the legal and operational framework supporting new revenue models, product launches, and market expansions.
    • Identify regulatory roadblocks and mitigate exposure through sound legal strategy.
    • Collaborate with marketing and media teams to ensure public-facing communications are compliant and risk-free.

    Qualifications

    • Second Class Upper (2:1) Bachelor’s degree in Law (LLB) as well well BL (Call to Bar) is mandatory. LLM or MBA is an added advantage.
    • Minimum of 5 years of legal experience, preferably across real estate, media, and tech industries.
    • Proven knowledge of Nigerian legal, regulatory, and compliance frameworks.
    • Practical experience handling HR and administrative responsibilities.
    • Excellent legal drafting, negotiation, and advisory skills.
    • Strong organizational, leadership, and people management capabilities.
    • High emotional intelligence, discretion, and ethical judgment.
