    Legal Counsel (Junior)

    Job Context

    • Support the company Secretary/LA in the provision of Secretarial, statutory, and regulatory compliance and corporate governance services. 
    • Play a key role in coordinating all the legal services, management of litigation/external lawyer, debtors’ portfolios, police matters, court attendance and all matters related thereto.

    Key Performance Areas (KPAs)

    • Assist in organizing Annual General Meetings, Extra-Ordinary General Meetings of the Company, the Board of Directors and its Committee.
    • Undertakes the filing returns and giving of notification to the Corporate Affairs Commission and all regulatory authorities on behalf of MDS Logistics Limited as directed by the CS/LA
    • Handles the litigations, policy matter, debt recoveries and coordinate relationship with external legal consultants.
    • Represent the Company in Courts and report proceedings thereat
    • Assist in the processing of expatriate quota, residence permits, visa and other immigration requirements on behalf of expatriate employees of the Company and its Business Units with the Federal Ministry of Interior/Internal Affairs.
    • Undertakes such other secretarial, legal and managerial duties as may be assigned by the Board of Directors, MDS/CEO from time to time.
    • Represent or facilitates the representation of the Company in courts, administrative and other dispute resolution fora.
    • Manage the company’s relationship with external counsel/law firms and serves as the link between the group and external law firms/counsel.
    • Drafting and vetting contracts, leases, licenses, Joint Venture Agreements, and other forms of agreements referred by various departments in the business
    • Assist in managing the intellectual property portfolio of the Company, including but not limited to registration and protection of Trademarks, designs, Patents, etc. within and outside Nigeria and on the web, management of copyright and confidential information etc.
    • Take steps to protect and prevent infringement of the intellectual property of the company through registration and other protective strategies.
    • Develop and implement an effective contract management process/database including contract depository, contract register, contract templates, contract filing and contract status reporting and compliance feedback.
    • Prompt all departments on timely renewal of leases, certificates of occupancy, commercial services, joint venture agreements, international agreements etc.
    • Assist the CS/LA ensure compliance by the business with all applicable federal, state, local and international statutes, case laws, regulations and byelaws through periodic legal audit & review, advisory and legislative, policy monitoring and reporting.
    • Undertakes and ensure proper filings of all documents in Secretarial/Legal services
    • Following up with all external legal consultants on briefs to ensure timely completion of assignments/briefs.
    • Handles the intellectual property portfolio, renewal of expiring trademarks.
    • Preparing first drafts of agreement, correspondence for the Company Secretary/LA for vetting, review and approval
    • Ensure adequate and proper filings of all correspondence acts, Agreements.
    • Handles contract depository for all departments.
    • Assist the CS/LA in handling the Company’s property portfolio.

    Qualifications Required

    • LL. B (HONS)
    • Member of Nigerian Bar Association and or other relevant professional bodies
    • Member of institute of Chartered secretariate & Administrator of Nigeria al

    Skills and Experience Required:

    • 3-5 years post call experience in secretarial and legal practice and exposure to business experience in a reputable law firm or blue-chip company or conglomerate.
    • Sound knowledge of and experience in Company Secretarial Practice, meetings, Business/commercial, Corporate Law, Real Estate property Laws, intellectual property and practice with experience

    Trainer: Driver

    Job Context

    • To manage training sessions for both new and experienced delivery officers, evaluating their performance to identify areas needing additional focus for further improvement. 
    • Take charge of leading training initiatives for delivery officers, contributing significantly to the long-term advancement of the Transport Operations function within DPW.

    Key Performance Areas (KPAs)

    Conduct Training Sessions:

    • Provide instructional training sessions for articulated truck drivers on safe and efficient driving techniques, including handling large vehicles, maneuvering, and operating articulated trucks.
    • Research and present innovative training methodologies to enhance driving capabilities.

    Develop Training Curriculum:

    • Create and design a comprehensive training curriculum that covers all aspects of articulated truck driving, focusing on safety protocols, vehicle controls, traffic regulations, and load handling.
    • Design and update driver course materials, including training literature, presentations, and assessments.
    • Identify drivers' weaknesses and create tailored training plans to address skill gaps.

    Train New Drivers:

    • Instruct newly recruited drivers on the operation of articulated trucks, familiarizing them with vehicle controls, safety features, and adherence to company policies and procedures.
    • Conduct on-board and shadow monitoring of all delivery officers' performance.
    • Instruct new drivers on vehicle controls, inspection protocols, and safe driving practices.

    Offer Refresher Courses:

    • Conduct periodic refresher courses for experienced drivers to reinforce safe driving practices, update knowledge on regulatory changes, and improve driving skills.
    • Provide targeted training for drivers with identified areas of improvement.

    Assessment and Evaluation:

    • Assess drivers' performance through practical tests, evaluations, and feedback sessions to identify areas for improvement and ensure compliance with safety standards.
    • Develop and update assessment questions for ongoing evaluation of delivery officers.
    • Document potential candidates using an assessment form, screening, and shortlisting applicants for on-road testing.
    • Evaluate student performance during driving lessons to pinpoint areas for improvement.

    Mentorship and Guidance:

    • Provide mentorship and guidance to drivers, offering support and advice on enhancing driving techniques, hazard management, and maintaining vehicle integrity.

    Safety Protocols and Compliance:

    • Emphasize and enforce adherence to safety protocols, regulations, and traffic laws, emphasizing defensive driving techniques and accident prevention strategies.

    Equipment Familiarization:

    • Ensure drivers are well-versed with the technical aspects of articulated trucks, including understanding maintenance schedules, vehicle inspections, and emergency procedures.

    Documentation and Reporting:

    • Maintain accurate records of training activities, assessments, and driver progress. Generate reports highlighting training outcomes and areas needing improvement.

    Continuous Improvement:

    • Stay updated with industry best practices, technological advancements, and changes in regulations to incorporate relevant information into training programs, fostering continuous improvement among drivers.

    Emergency Response Training:

    • Prepare drivers to handle emergency situations effectively, including breakdowns, accidents, and adverse weather conditions, ensuring they respond appropriately and prioritize safety.

    Communication and Coordination:

    • Collaborate with management and other stakeholders to ensure alignment of training programs with organizational goals and objectives.
    • Facilitate open communication channels for driver feedback and suggestions.

    Health & Safety responsibilities

    • Liaise with the HSE unit to train all drivers on DPW’s health, safety and security regulations and policies.
    • Ensure drivers compliance with DPW’s and all other relevant health, safety and security regulations and policies.
    • Involve in incident/accident investigation.

    Qualifications Required

    • A Bachelor’s Degree in any of the Social Sciences or equivalent.

    Skills and Experience Required:

    • Minimum of 5 years post graduate experience training articulated truck drivers.
