    Senior Tax Lawyer - Practice Lead

    Job Summary

    • Our client is seeking a highly skilled Tax Lawyer to spearhead our new Tax Practice and help build a robust service line focused on tax advisory, compliance, audit representation, and regulatory matters.
    • The ideal candidate will possess deep expertise in corporate taxation, transaction structuring, transfer pricing, and regulatory compliance, with experience equivalent to at least an Assistant Manager level in any of the Big Four accounting firms. CT, government and public sector matters, immigration, employment, and dispute resolution.

    Key Responsibilities 

    • Lead the development and growth of the firm’s Tax Practice, including strategy, client acquisition, and service delivery.
    • Provide comprehensive legal and tax advisory services to corporations, financial institutions, and high-net-worth clients.
    • Represent clients in tax audits, investigations, and disputes before the Federal Inland Revenue Service (FIRS) and State tax authorities.
    • Ensure compliance with tax laws, reporting standards, and regulatory obligations.
    • Work closely with the firm’s Corporate, Finance, and Dispute Resolution teams to deliver integrated advisory solutions.
    • Draft, review, and negotiate tax-related clauses and agreements in commercial transactions.
    • Keep abreast of tax policy changes, new legislation, and judicial precedents and communicate their impact to clients and management.
    • Develop internal processes and best practices for the emerging Tax Practice.
    • Supervise and mentor junior lawyers as the team expands.

    Requirements

    • Bachelor of Laws (LL.B) degree and Call to the Nigerian Bar (B.L.); additional qualifications such as Chartered Accountant (ICAN/ACCA) or Chartered Tax Practitioner (CITN) are highly desirable.
    • Minimum of 10 years post-call experience, with at least 5 years in a tax and regulatory advisory role within a top-tier law firm or Big Four accounting firm.
    • Strong understanding of Nigerian tax laws, company law, financial reporting standards, and international tax principles.
    • Proven ability to manage client portfolios, handle complex tax issues, and lead multiple engagements.
    • Exceptional analytical, research, and problem-solving skills.
    • Strong communication, presentation, and business development acumen.
    • Demonstrated leadership and the ability to build and grow a new practice area.

    Senior Lawyer - Corporate Finance

    Job Summary

    • Our client is seeking a highly skilled Senior Lawyer with specialized expertise in Corporate Finance to join our team.
    • The ideal candidate will have extensive experience advising on complex legal matters relating to capital raising, mergers and acquisitions, joint ventures, corporate restructurings, and other financial transactions involving corporations, banks, and investment firms.
    • The role requires sound commercial judgment, strong negotiation skills, and the ability to manage high-value transactions from start to finish.

    Key Responsibilities 

    • Provide expert legal advice on corporate finance transactions, including equity and debt offerings, private placements, loan syndication, and project finance deals.
    • Lead or support the structuring, negotiation, and documentation of mergers, acquisitions, joint ventures, and other strategic corporate transactions.
    • Draft, review, and negotiate a wide range of transactional documents, including share purchase agreements, subscription agreements, loan and security documents, and shareholder agreements.
    • Advise on regulatory compliance matters, including securities law, company law, and financial market regulations.
    • Liaise with relevant regulatory bodies, such as the Securities and Exchange Commission (SEC), Central Bank, and Corporate Affairs Commission (CAC).
    • Conduct legal due diligence on target entities and assets, and prepare comprehensive reports on findings and recommendations.
    • Collaborate with internal stakeholders, and financial advisers, to ensure successful execution of transactions.
    • Provide ongoing legal support on corporate governance, capital structure optimization, and financing strategies.
    • Stay abreast of emerging laws, regulations, and market practices impacting corporate finance and advise management on implications.
    • Mentor and provide guidance to junior associates.

    Requirements

    • Bachelor of Law (LL.B) degree and admission to the Nigerian Bar; an advanced degree (LL.M or MBA) is an advantage.
    • Minimum of 7 - 10 years of post-call experience with at least 5 years focused on corporate finance, capital markets, and M&A transactions.
    • Proven experience advising corporate clients, financial institutions, and investment firms on complex financial transactions.
    • Strong understanding of company law, securities regulation, and banking and finance frameworks.
    • Demonstrated ability to manage multiple transactions and work effectively under pressure.
    • Excellent drafting, negotiation, and analytical skills.

    Dispute Resolution Lawyer

    Job Summary

    • In this role, you will provide expert legal representation and advice on business disputes, arbitration, mediation, litigation, and alternative dispute resolution.
    • You will work closely with clients to understand their needs, develop strategies, and represent them both in and out of court.
    • The ideal candidate will have a strong background in dispute resolution, excellent negotiation skills, and experience handling complex legal matters.

    Key Responsibilities 
    Legal Advisory and Counsel:

    • Advise clients on a broad range of disputes, including commercial, contractual, construction, real estate, labour, tenancy, and regulatory matters.
    • Provide clients with clear and effective strategies to resolve disputes through litigation, arbitration, and other forms of alternative dispute resolution.

    Litigation and Arbitration Representation:

    • Represent clients in court, tribunals, and arbitrary forums in connection with commercial and civil disputes.
    • Prepare legal pleadings, motions, and other court filings as required.

    Alternative Dispute Resolution (ADR):

    • Facilitate mediation and settlement negotiations to achieve favorable outcomes for clients.
    • Advise clients on the benefits and risks of using ADR mechanisms, including negotiation, conciliation, and mediation

    Client Relationship Management:

    • Build and maintain strong relationships with clients by providing excellent service and timely legal advice.
    • Understand client objectives and provide strategic guidance on risk management and dispute resolution.

    Business Development:

    • Support the firm’s business development activities by networking, attending industry events, and contributing to marketing efforts related to dispute resolution services.
    • Develop and maintain a strong professional network to generate new business opportunities.

    Case Management and Strategy Development:

    • Conduct detailed legal research and case analysis to formulate effective dispute strategies.
    • Develop case strategies that balance legal risks and potential outcomes to achieve the best result for the client.

    Requirements

    • A Law Degree (LLB) from a reputable university.
    • Bachelor of Laws (B.L) from Nigerian Law School
    • 6-8 years post call experience, with a focus on dispute resolution, including both litigation and ADR.
    • Demonstrable experience in handling complex commercial disputes, including contract disputes, business litigation, construction, intellectual property, real estate, and regulatory matters.
    • Experience representing clients in arbitration and mediation, particularly in a cross-border or multi-jurisdictional context, is a plus.
    • Familiarity with relevant laws and regulations governing dispute resolution in the jurisdiction.
    • Experience drafting legal documents such as pleadings, motions, arbitration submissions, and settlement agreements.
