    Head, Legal Services

    Duties / Responsibilities
    Compliance:

    • Work with respective stakeholders to ensure that business activities are conducted in conformity with all applicable laws, regulations, internal policies, procedures and best practices to achieve a non-destructive growth
    • Keep abreast and review of all relevant statutory laws, regulations, regulatory developments, and industry initiatives applicable to Saro Group & SBUs, advise management accordingly and ensure compliance.
    • Ensure that all regulatory permissions remain current and appropriate for business needs.
    • Develops compliance checklists and prepare compliance reports, as and when due complete with responses from business management, actionable plans for avoiding or preventing business disruption at all levels for weekly, monthly (MBR) & quarterly communication to Management, ED ARCG & Board Audit, Risk and Governance Committee (BARGC).
    • Ensure processes are in place to ensure compliance with applicable regulatory, corporate, securities and other legal requirements; Participate in Business Process Re-engineering exercises to ensure controls therein are adequate.
    • Ensure compliance with Sustainable practices and SBUs Corporate Governance Framework

    Commercial Legal Service:

    • Manage all Company’s real estate/landed properties – ensure payment of relevant charges, perfection and registration of title for company properties
    • Provide commercial legal advice and solution for different aspects of the business
    • The HCLS will review and provide strategic legal advice on documents and agreements for all SBU’s
    • Serves as liaison for all regulatory bodies as well as maintaining relationships with relevant legal bodies and trade associations
    • Keep company's legal records of commercial agreements, permits, licenses and legal transactions with third parties and ensures prompt renewal of expired contracts
    • Maintain company's intellectual property rights and trademarks – ensure registration and compliance
    • Carry out review of Service Level Agreement (SLA) to ensure applicable regulatory laws are incorporated
    • Negotiation, drafting and implementation of the terms of agreements in all business contracts and agreements.

    Dispute Resolution:

    • Manage litigation and liaise with external lawyers, review progress of anticipated and outstanding litigation.
    • Review ongoing staff cases and advice management accordingly.
    • Provide advise on a case by case basis on how to mange the cases and claims by third parties. Negotiate with third parties to prevent un-warranted claims

    Corporate Legal Services:

    • Review and provide strategic legal advice on documents and issues for all SBU’s
    • Review and advise management on legal implications of internal policies and procedures.
    • Maintain all company’s corporate books and registers – perform periodic due diligence on operating and non-operating companies, ensure compliance with all returns due to CAC
    • Liaise with Company secretary to ensure compliance with relevant regulations and maintaining a functional Company Secretariat

    Governance:

    • Ensure strict implementation of Corporate Governance Framework and Governance in line with CAMA 2020 Track compliance with Internal Governance, Whistle Blowing Policy and Corporate Governance framework with respect for the DOA.

    Education and Experience

    • The ideal candidate must have obtained at least a Second Class Upper Degree in Law at both University and the Nigerian Law School.
    • Minimum of 5 years’ relevant experience.
    • Goods knowledge and use of Microsoft Office packages & ERP systems (Knowledge of Navision& SharePoint will be an added advantage).
    • Age Requirement: 28 - 35 years old.

    Treasury Foreign Exchange Operations Officer

    Duties / Responsibilities
    FX Management:

    • Manage the FX blotter and position
    • Responsible for FX trading activities in a competitive manner. To facilitate the SARO Group’s need and position at any point in time
    • Liaise with the SBUs on all FX related activities.
    • Implement FX transactions in line with TGX risk framework and appetite of SARO Group
    • Nurtures and maintains relationships with relevant regulatory agencies and other key stakeholders
    • Liaising with the banks on Suppliers payments (foreign exchange)
    • Ensure the average rate of the SBUs are monitored.
    • Present the FX sourcing update fortnightly to the SBUs, Finance and auditors.
    • Prime responsibility for ensuring compliance with price risk limits as agreed with risk/compliance.
    • Liaise with the bank and supply chain on all FX related activities.
    • Adhere to defined risk limits on FX sourcing.
    • Market Update
    • Daily FX update on micro and macro market economy as it relates to SARO Group
    • Provide market feedback and market dynamics
    • Disseminates market information in a timely useful, actionable format to support risk taking and revenue making potential
    • Rates monitoring and regular review
    • Interpret data, formulate reports and make recommendations
    • Responsible for other duties assigned by the GMD/Treasurer from time to time.

    Education and Experience

    • B.Sc in Accounting or related courses
    • 2– 5 years post-qualification professional experience
    • Professional certification in accounting will be an added advantage
    • Goods knowledge and use of Microsoft Office packages & ERP systems (Knowledge of Navision& SharePoint will be an added advantage).
    • Age Requirement: 28 - 35 yearsrs old.

    Plantation Auditor

    Duties / Responsibilities
    Plantation Audit:

    • Review Agribusiness value chain strategies and evaluate the effectiveness of risk management, control, and governance process in Agro-allied operations.
    • Support in the formulation and implementation of business strategy in agribusiness in line with global best practices.
    • Ensure Good Agricultural Practices for Oil Palm cultivation (i.e Seedling to Harvesting End-To-End Process) and Plantation
    • Maintenance is properly documented, implemented, and the same reviewed periodically in line with the emerging Agrotechnology
    • Ensure the Nursey program is planned and reviewed by Management and same is well monitored periodically. Review and monitor controls over Agro inputs and other inventories (Receipt, Storage & Disbursement Process)
    • Monitor the cost of agricultural inputs per hectare and ensure it is not higher than the industry average
    • Review and monitor controls over all plantation services outsourced to 3rd parties
    • Review and monitor adherence to Security controls / procedures in the plantation
    • Engage with process owners to make professional recommendations with respect to farm performance in Nutrient management, Soil & Water Management, Pest Management, Weed management, and Crop management.

    Reporting:

    • Review plantation activities, identify and report on control gaps and/or non-compliances that require audit intervention
    • Follow-up with process owners to ensure timely closure of identified control gaps and/or non-compliances in line with agreed timelines and provide periodic reports on the implementation status of audit recommendations Daily / Weekly / Monthly report on the management of Agro-input and other inventories (Receipt, Storage & Disbursement)
    • Daily / Weekly / Monthly report on compliance with Good Agricultural Practices with respect to Oil Palm cultivation and Plantation Maintenance
    • Daily / Weekly / Monthly report on compliance with Plantation Security procedures.

    Leadership:

    • The Plantation Auditor must demonstrate full understanding and have clarity about Saro's core values, guidelines, and policies, and must ensure strict adherence to the company’s Core Values, Code of Conduct, and all Guidelines, Policies and Procedures always.

    Other Responsibilities:

    • The Plantation Auditor could be assigned additional responsibilities or roles as may be deemed necessary by the ED, ARCG, or the MD of Saroafrica International.

    Education and Experience

    • Minimum of a Second Class Upper in Accounting from a reputable university
    • Professional certification in accounting will be an added advantage
    • Minimum of 2 years’ Audit experience
    • Goodknowledge and use of Microsoft Office packages & ERP systems (Knowledge of Navision& SharePoint will be an added advantage).
    • Age Requirement: 30 years and below.

    Treasury Dealer

    Duties / Responsibilities
    Trading:

    • Responsibile for driving revenue generation and diversification of portfolio within the TGX investment policy.
    • Manage the Investment blotter and position
    • Provide market feedback and market dynamics as it relates to investment (Domestic and Global)
    • Develop a framework for tracking and reporting revenue attribution on a unit and dealer level for performance monitoring and evaluation
    • Implement trades in line with the agreed risk-taking framework and appetite of SARO Group
    • Build out trading capabilities in domestic and international markets, utilizing multiple currencies and products in line with TGX investment
    • Prime responsibility for ensuring compliance with price risk limits as agreed with risk/compliance
    • Propagates the SARO Group’s market positioning through advocacy and participation in relevant market developmental activities/ bodies
    • Regular tracking and monitory of investment

    Other Functions:

    • Adhere to defined risk limits and trading strategy as defined by Treasurer
    • Responsible for ensuring compliance with prudential and statutory requirements
    • Nurtures and maintains relationships with relevant regulatory agencies and other key stakeholders
    • Liaising with the banks on the daily money market, fixed income rate
    • To intervene in banking-related issues as it relates to investment
    • Develop with the Treasurer agreed metrics to assess and measure unit performance at a granular level.
    • Responsible for preparation of Treasury monthly MTM reports to measure performance
    • Responsible for supporting the Treasurer for all investment matters that affect the unit.
    • Responsible for other duties assigned by the GMD/Treasurer from time to time.

    Education and Experience

    • B.Sc in Accounting or Finance related courses with professional qualification(s) in Accounting.
    • Relevant postgraduate degree or professional qualification will be an added advantage
    • 5 – 10 years post qualification professional experience
    • Goodknowledge and use of Microsoft Office packages & ERP systems (Knowledge of Navision& SharePoint will be an added advantage).
    • Age Requirement: 28 - 35 years old.
