A leading commercial law firm in Lagos is seeking a highly skilled Transactional Lawyer with over 5 years of post-call experience to join its dynamic team. The ideal candidate will have demonstrable experience advising on complex energy and financial transactions, including project finance, capital raising, joint ventures, and regulatory compliance.
This role offers the opportunity to work on high-impact deals within Nigeria’s energy and financial sectors, while providing strategic legal advice to top-tier local and international clients.
Key Responsibilities:
Advise clients on corporate and commercial transactions within the oil & gas, power, and financial services sectors.
Structure, negotiate, and draft key transaction documents, including Power Purchase Agreements (PPAs), Joint Venture Agreements, Loan Agreements, Shareholder Agreements, Investment Agreements, and Security Documents.
Conduct and lead legal due diligence for M&A and project finance transactions.
Advise on compliance with Nigerian laws and regulations, including those enforced by DPR/NUPRC, NERC, CBN, SEC, and NAICOM.
Provide regulatory and advisory support on cross-border investments, corporate structuring, and repatriation of capital.
Interface with regulators, clients, financiers, and counterparties throughout the transaction lifecycle.
Supervise junior associates and contribute to knowledge development within the firm.
Requirements:
Qualified to practice law in Nigeria; minimum 5 years post-call experience in a top-tier law firm or corporate legal department.
Significant experience advising on energy transactions (oil & gas, renewables, or power) and/or financial transactions (project finance, capital markets, private equity).
Strong command of Nigerian corporate law, project structuring, and regulatory frameworks.
Proven ability to manage high-value transactions with limited supervision.
Excellent drafting, negotiation, and stakeholder management skills.
Strong commercial awareness and ability to tailor legal advice to business needs.
Desirable:
Experience with cross-border financing, syndications, or export credit agency (ECA) transactions.
Familiarity with industry-specific frameworks such as PIA, Electric Power Sector Reform Act, BOFIA, and Investment and Securities Act.
A relevant post-graduate qualification (LL.M., MBA) is an advantage.
