    Lead, Corporate Law & Board Matters

    Objectives

    • To ensure NGIC’s business operations conform to extant laws and regulations through coordination of the legal aspect of strategic planning, administers the secretarial functions of the Board of Directors, Shareholders, MEXCOM, and other Management Committees.
    • Oversees compliance with Corporate Governance Principles, PIA, CAMA, etc., and liaises with Regulatory Agencies thereby supporting business continuity and mitigating NGIC’s exposure to risk, loss of revenue, penalties, and disbarment.

    Key Responsibilities

    • Provide advice and drive negotiations on regulatory compliance issues with Government Agencies, Local Authorities, etc.
    • Advise the Board of Directors to ensure the Board’s awareness of good corporate governance practices and ensure that all Board Committees are duly constituted as required under the rules of the Nigerian Code of Corporate Governance.
    • Ensure the adherence of the Board to the Company and Allied Matters Act (CAMA), the Nigerian Code of Corporate Governance (NCCG) Rules, and other relevant regulations governing the Board’s activities.
    • Interface with Planning & Commercial Division to provide legal advice on the legal aspects of strategic planning.
    • Keep and manage NGIC’s statutory and regulatory compliance register.
    • Liaise with Departments and Divisions to ensure adherence to all legal and statutory requirements, etc., and ensure and enforce internal compliance with Local and International Standards, operational guidelines, policies, and procedures across NGIC.
    • Analyze and review legislations, regulations, rules, and operational policies as required for Management and the Board.
    • Provide legal advice on a broad range of corporate matters including employment issues, HR issues, licensing issues, and other business issues, as well as compliance with ISO QMS, etc.
    • Interface with Regulators on various statutory and regulatory issues, including the procurement or renewal of NGIC’s operational licenses and permits, obtaining of requisite statutory approvals for other activities, ensuring compliance with reporting requirements, and the resolution of compliance issues.
    • Liaise with the General Counsel to carry out other tasks incidental to the Board, such as organizing training programs for Directors, holding of Board Retreats, Board welfare issues, etc.
    • Ensure that all NGIC’s statutory filings are up to date at the Corporate Affairs Commission (CAC).
    • Ensure organizational compliance with all extant laws and statutes, disseminate new regulations and policies to Departments/Divisions and engage accordingly to monitor compliance.

    Educational Qualification

    • Bachelor’s Degree in Law (LL.B.) and Barrister-at-Law (B.L.) qualification. CALL TO BAR IS A MUST.
    • Master-of-Laws (LL.M) or any other relevant post-graduate degree and professional qualification is an added advantage.

    Competence

    • Sound Knowledge of Oil and Gas industry regulations.
    • Corporate Governance knowledge and relevant skills.
    • Legal case handling, analytics, and advisory skills.
    • Knowledge of extant laws.
    • Legal drafting skills.
    • Negotiation skills.
    • Legislation interpretation skills.
    • Regulatory compliance advisory skills.
    • Problem-solving and Conflict Resolution skills.

    Experience

    • Minimum of 9 years relevant post qualification experience.
    • Experience in the oil and gas industry will be an added advantage.

    Age Limit: 37 years
