    Company Secretary / Legal Adviser

    THE ROLE

    We are looking for a Company Secretary who goes beyond administrative duties. You will act as the custodian of our Corporate Governance framework, ensuring full compliance with the Companies and Allied Matters Act (CAMA) 2020 and the Nigerian Minerals and Mining Act 2007. You will serve as the primary interface between the Board, Management, Regulatory Bodies, and Host Communities.

    KEY RESPONSIBILITIES

    • Board Administration: Organise and manage Board and Committee meetings, ensuring high-quality agenda setting, minute taking, and follow-up on Board resolutions.
    • Regulatory Compliance: Ensure strict compliance with CAC filings, Annual Returns, and statutory registers.
    • Mining Licensure: Manage the company’s portfolio of mining titles; interface with the Mining Cadastre Office (MCO) to ensure all Annual Service Fees and reports are up to date to prevent license revocation.
    • Community Relations: Oversee the drafting and legal validation of Community Development Agreements (CDAs) to ensure social stability and compliance with Section 116 of the Mining Act. Advisory: 
    • Provide sound legal and governance advice to the Directors regarding their duties, liabilities, and the Nigerian Code of Corporate Governance.
    • Contract Management: Draft and review Joint Ventures, Technical Service Agreements, and Off-take Agreements.

    PERSON SPECIFICATION

    Educational & Professional Qualifications

    • A degree in Law (LL.B, B.L) from a recognized university and admission to the Nigerian Bar OR
    • Membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN).
    • (Possession of both is an added advantage).

    Age and Experience

    • Age bracket 35 to 50 years old. 
    • Minimum of 4–6 years post-qualification experience.
    • At least 3 years in a senior legal or secretarial role within the Mining, Extractive, Construction, or Infrastructure sectors.
    • Proven experience dealing with the Corporate Affairs Commission (CAC) and Mining Regulatory bodies.

    Skills & Competencies

    • Deep knowledge of the Nigerian Minerals and Mining Act 2007 and Land Use Act.
    • Excellent negotiation skills, particularly in conflict resolution with host communities.
    • High degree of professional ethics, integrity, and confidentiality.
    • Proficiency in English is mandatory; ability to communicate in Hausa or Kanuri and any of the Yobe State local languages is a significant strategic asset.
