    Company Secretary Compliance Executive

    • We are a leading real estate firm seeking a highly organized, detail-oriented, and strategic Company Secretary/Compliance Executive to join our leadership support team. The ideal candidate will be responsible for ensuring legal, regulatory, and statutory compliance as well as maintaining high standards of corporate governance. You will advise the board of directors, manage board meetings, maintain statutory records, and facilitate communication between the board, shareholders, and regulatory bodies.

    Key Responsibilities

    • Act as the primary advisor to the Board of Directors on their duties, powers, and corporate governance best practices.
    • Provide strategic guidance to the board of directors, organize meetings, including drafting agendas, preparing high-level board packs, recording accurate minutes, and compiling resolutions.
    • Ensure the company remains in strict compliance with all statutory requirements, including filings with the Corporate Affairs Commission (CAC) and other relevant regulatory bodies.
    • Manage the company’s statutory registers and handle all official corporate correspondence and legal documentation.
    • Facilitate effective communication between the board, management, shareholders, and external stakeholders.
    • Develop, implement, and monitor internal compliance policies to mitigate legal and operational risks.
    • Coordinate with legal, compliance, and risk teams to ensure a unified regulatory strategy.
    • Provide strategic direction to the compliance team and ensure alignment with the overall business objectives.

    Required Qualifications & Experience

    • A minimum of 6 years of post-call experience in company secretarial or corporate legal roles, preferably in real estate.
    • At least 3 years in a leadership or senior management capacity, demonstrating the ability to guide Board-level discussions.
    • Deep understanding of the Companies and Allied Matters Act (CAMA) and Nigerian Code of Corporate Governance.
    • Bachelor’s degree in Law, Business Administration, or a related field; a professional qualification (e.g., ICSAN) is highly desirable.
    • Absolute discretion and the ability to handle highly confidential information.
    • Exceptional written and verbal communication skills for engaging with stakeholders and high-level executives.
    • Proven ability to manage complex statutory processes, maintain accurate records, and ensure timely compliance.
    • The ability to anticipate regulatory changes and advise the business on proactive adjustments.
