    Legal Officer

    Minimum Qualification/ Experience

    • Law Degree from a recognized University.
    • Qualified to practice Law in Nigeria (i.e. BL).
    • At least 5 years post call to bar experience in Oil and Gas industry.
    • Experience in a law firm, Marine Logistics, EPCI, Power & Energy Industry, Infrastructure, Oil and Gas will be an added advantage.

    Completion of NYSC is mandatory.

    Location: Ikoyi, Lagos

    PURPOSE STATEMENT

    • To provide efficient, professional, legal, contractual and company secretarial support to the Company and its subsidiaries; whilst identifying risks, reducing liabilities, preventing litigation, ensuring compliance with laws and reducing general legal costs.

    KEY DELIVERABLES

    Legal Services:

    • Provide ad-hoc legal advice and support to the various companies within the Company.
    • Ensure the legal department and the company is updated on applicable legal and regulatory requirements by providing support and advice on laws, regulations and rules.
    • Liaise with external solicitors working on the matters for company and its subsidiaries including litigation matters and other transactions.
    • Giving prompt legal counsel and advice on all legal matters relating to business ventures, activities, relationships, projects and operations.
    • Management of litigation and resolution of legal disputes of the Company through ADR techniques.
    • Management of departmental budget and implementation of legal cost cutting techniques.
    • Management of Company's relationship with external counsel/law firms and serves as the link between the Company and external law firms/counsel.
    • Reviews complaints and prepares preliminary assessment of cases
    • Reviews court cases, correspondences and publications and point out matter of note or which necessitate action.
    • Performs research and analysis of routine legal problems and issues.
    • Representation in courts on behalf of the company.

    Contract Management:

    • Review, draft and negotiate low risk commercial agreements
    • Take lead on requests to draft and/or review lease agreements, deeds and other low risk property documentation.
    • Drafting and review of Agreements, including Technical Manpower Services Agreement, EPCI Agreements, Purchase and Sale Contracts, Subcontract Agreement, Engineering Frame work Contracts, Consortium Agreements, and Technical Services Agreement.
    • Drafting of medium level agreements and correspondence including memorandum of agreement, memorandum of understanding (MoU), non-disclosure agreement and service level agreement (SLA).
    • Monitoring and managing contract compliance, including proactively working with the client and Legal teams to resolve contractual issues.
    • Responsible for subcontractor selection process, execution of agreements and management of subcontractors.
    • Ensure effective interface between all project groups involved in post award contract management and expediting; including project management, legal, contracts and procurement.

    Administrative/Secretariat Role:

    • Attend meetings with private and public organization/clients.
    • Provide support on assignment or take lead on assignment as they are assigned.
    • Assist in organization and administration of the legal department.
    • Assist in the preparation of reports and presentations
    • Manage the communication with counterparts, organize meetings and manage diaries of legal terms.
    • Manage the day to day business activities under Management directives (follow ups, communication, preparation of documents, contracts, submissions, reports, matter management etc)
    • Incorporation of new companies for the Company.
    • Reviewing / Editing of documents sent to the company.
    • Conducting of search at C. A. C. and Land Registry.

    Required Knowledge/Skills

    • Good knowledge of the laws of the Federal Republic Nigeria and regulations, corporate/commercial law as well as company law and secretarial practice.
    • Working knowledge in Marine Logistics, EPCI, Power & Energy Industry, Infrastructure, Oil and Gas will be an added advantage.
    • Reasonable litigation background
    • Excellent drafting and negotiation skills.
    • Good knowledge of Microsoft Office especially MS Word and PowerPoint.
    • Ability to work as part of a team and with both internal and external stakeholders with diverse cultural backgrounds
    • Fluent verbal and written communication skills
    • Ability to identify legal challenges, analyze them and propose legal but efficient.
    • Must be methodical and pay attention to details
    • Ability to think on your feet and outside the of box.
    • Strong commercial awareness and ability to apply commercial solutions to legal problems.
    • And any other duties that may be assigned.
