JOB SUMMARY

• This role is responsible for managing the Firm's cash flow, liquidity, and financial risk. This position plays a crucial role in optimizing the Firm's financial resources, ensuring compliance with financial regulations, and supporting strategic financial decision-making.

KEY RESPONSIBILITIES

Cash Management:

• Monitor daily cash balances and manage cash flow to meet operational needs.
• Execute funds transfers, including disbursements and receipts.

Bank Relations:

• Maintain relationships with financial institutions and banking partners.
• Collaborate with banks to optimize services and streamline transactions.

Forecasting and Budgeting:

• Assist in the preparation of cash flow forecasts and budgets.
• Provide insights on liquidity requirements to support financial planning.

Investment Management:

• Evaluate short-term and long-term investment opportunities.
• Implement investment strategies to maximize returns while managing risk.

Debt Management:

• Monitor and manage debt obligations, including interest payments and principal repayments.
• Evaluate financing options and recommend strategies to minimize costs.

Financial Risk Management:

• Identify and assess financial risks, including interest rate and currency risks.
• Implement risk mitigation strategies to safeguard the firm's financial interests.

Treasury Reporting:

• Prepare regular reports on cash positions, liquidity, and treasury activities.
• Contribute to the development of treasury-related policies and procedures.

Fulfilling Other Responsibilities as Delegated or Assigned:

• Additional duties and responsibilities may be assigned as needed to meet the evolving needs of the organization.

EDUCATIONAL QUALIFICATION

• Bachelor's degree in Finance, Accounting, or a related field.
• A professional qualification such as ICAN, ACCA, or CTP (Certified Treasury Professional) is advantageous.

SKILLS / KNOWLEDGE REQUIREMENTS

• Minimum of one (1) year cognizant experience.
• In-depth knowledge of treasury functions, financial instruments, and risk management.
• Strong analytical and problem-solving skills to assess financial data and trends.
• Effective written and verbal communication skills to convey complex financial information.
• Proficient in using treasury management systems and financial software.
• Familiarity with Microsoft Office Suite and ERP systems.
• Understanding of financial regulations and compliance requirements.

JOB SUMMARY:

• This role will be crucial in providing legal support and expertise to clients in the capital markets, as well as mergers and acquisition transactions. With your strong understanding of relevant laws, regulations, and industry practices, you will work closely with senior lawyers and contribute to our firm's success by assisting in complex legal matters, conducting research, and delivering high-quality legal solutions.

KEY RESPONSIBILITIES:

• Legal Advice: Assist senior lawyers in providing legal advice and guidance to clients on a wide range of legal issues related to capital markets and mergers and acquisitions transactions.
• Legal Research and Analysis: Conduct comprehensive legal research and analysis on capital markets and mergers and acquisitions transactions, including regulations, case law, and industry trends, to provide accurate and timely advice to clients. 
• Due Diligence: Assist in conducting due diligence exercises to identify legal risks, liabilities, and compliance issues associated with capital markets and mergers and acquisitions transactions
• Client Management: Interact with clients to gather necessary information, provide updates on legal matters, and address their queries and concerns in a professional and timely manner.
• Document Drafting and Review: Review, drafting, and revising legal documents related to capital markets and mergers and acquisitions transactions, such as, but not limited to, prospectuses, offering circulars, underwriting agreements, relevant listing documentation, trust deeds, agency agreements, comfort documentation, legal opinions, letters of intent, asset/sale purchase agreements, scheme documents, shareholder agreements, disclosure schedules, merger control filing documentation, escrow agreements, transition services agreements, tender offer documents, corporate authorisations, etc. Prepare clear and concise legal memoranda, reports, and correspondence to communicate legal analysis, advice, and recommendations to clients and internal stakeholders.
• Documentation Management: Organize and maintain legal documents, contracts, and correspondence related to banking and finance transactions, ensuring accuracy and accessibility.

QUALIFICATION / SKILLS REQUIRED:

• Bachelor’s degree in law (LLB or JD) from an accredited institution and active bar membership. Advanced degree or relevant certifications are a plus.
• Minimum of 5 years post-call experience practicing law, with cognate experience in capital markets and mergers and acquisitions matters.
• Demonstrate a solid understanding of capital markets and mergers and acquisitions laws, regulations, and industry practices, including familiarity with financial transactions, lending, securities, and regulatory compliance.
• Display strong analytical and problem-solving abilities, with the capacity to assess complex legal issues and provide sound recommendations.
• Possess excellent written and verbal communication skills, enabling effective interaction with clients, colleagues, and external stakeholders.
• Exhibit meticulous attention to detail in reviewing legal documents, conducting research, and preparing legal analyses.
• Ability to work collaboratively within a team and maintain strong client relationships.
