We are seeking an experienced and commercially astuteSenior Associateto join our legal team.
The ideal candidate must havea minimum of 8 years post-call experience, with astrong background in corporate/commercial law, capital markets, andmergers & acquisitions.
The role requires a proactive leader with a deep understanding of regulatory compliance, transaction structuring, and client engagement across diverse sectors.
Responsibilities
Provide legal support for mergers, acquisitions, business combinations, and corporate restructuring.
Draft, review, and negotiate transaction documents including share purchase agreements, shareholder agreements, scheme documents, trust deeds, and prospectuses.
Liaise with the Securities and Exchange Commission (SEC), Nigerian Exchange Limited (NGX), Corporate Affairs Commission (CAC), and other regulatory bodies.
Actively participate in all business development efforts and initiatives toward growth
Maintain statutory registers and minute books
Lead due diligence exercises and coordinate cross-functional teams on complex transactions.
Provide general corporate advisory to clients on company law, regulatory filings, and governance matters.
Represent clients in court proceedings and alternative dispute resolution processes where necessary.
Mentor junior lawyers, review work output, and support professional development within the firm.
Contribute to the firm’s thought leadership through legal writing, presentations, and client training sessions.
Participate in business development initiatives and client relationship management.
Requirements
A Master’s degree in Law (LL.M), MBA, ICSAN qualification, or SEC-sponsored individuals' certification is an added advantage.
LL.B (2.1), B.L (2.1)
8-12 years post-NYSC corporate experience at a first-tier law firm.
Minimum of 8 years post-call to bar experience, with substantial exposure to corporate finance, capital markets, and M&A transactions.
Demonstrable experience advising on transactions regulated by the SEC, NGX, and CAC.
Company Secretary Experience
Solid grasp of capital market structures, regulatory frameworks, and transaction documentation.
Proficiency in legal drafting, negotiation, and regulatory compliance advisory.
Excellent client-facing, interpersonal, and communication skills.
Proven leadership, team management, and project coordination abilities.
High degree of professionalism, ethics, and business acumen.
Litigation and general legal practice experience is a plus.
