    Senior Manager, Transaction Diligence

    Job Description

    The Opportunity

    • You'll be part of the Transaction Diligence (TD) team which provides clients with the financial and strategic transaction assistance to ensure the success of their transaction. 
    • Our TD teams assist clients throughout the entire transaction process.
    • While traditional financial due diligence is a key element of the service, TD is much broader, incorporating transaction management, negotiation and documentation, and post-completion integration. 

    Your Key Responsibilities

    • As a Senior Manager, you will be part of the Transaction Diligence team helping our clients determine the right deal to do, and then assist them in doing the deal right.  
    • Our team works to understand profit drivers and trends, challenge assumptions of future performance, and assist with purchase agreements and post-closing transaction matters. 
    • Our TD teams assist clients throughout the entire transaction process. 

    To qualify for the role, you must have

    • Bachelor's or Master's Degree in Accounting and/or related major.
    • Must have 7 years of financial due diligence experience
    • CPA or CA, CPA certification.
    • Minimum 10 years of accounting experience.
    • Effective written and verbal communication skills.
    • Strong analytical and interpersonal skills.
    • Dedication to teamwork.
    • Experience working with BI tools such as Power BI, Alteryx, Tableau, Spotifire, or others.
    • Experience with each of IFRS, ASPE and US GAAP.
    • Strong work initiative and the ability to adapt to new challenges and ideas.
    • Willingness to team and learn.

    Skills and attributes for success:

    • Participate and play a leadership role in due diligence engagements related to acquisitions or divestments by private equity investor groups and strategic corporate players.
    • Analyse financial/operational results of targets through analysis of operational accounting records and conducting interviews with management.
    • Identify and quantify GAAP issues as they relate to the valuation of the target.
    • Prepare/evaluate pro forma financial information.
    • Analyse carve-out issues, as applicable relating to a buy-side or sell-side project.
    • Identify issues for purchase price reductions, deal structuring or deal termination.
    • Identify post-acquisition/divestiture action steps.
    • Evaluate effects of seasonality on cash flow requirements.
    • Perform industry and company research.
    • Correlate due diligence findings with client valuations and manage expectations of service. 
    • Develop people including supervising staff effectively, providing constructive feedback/training and conduct performance reviews.

    Manager, Modeling and Valuation

    Job Responsibilities

    • A senior role leading engagement delivery and developing a diverse team, with deep sector expertise and an entrepreneurial spirit.
    • Demonstrate expertise with applicable industry and/or consulting experience related to mergers and acquisitions transactions; business integrations/separations, carve-outs, and other types of transaction engagements.
    • Demonstrate experience in the field of transaction restructuring, as well as sound knowledge of performance and financial analysis, integrated business planning and cash flow projection.
    • Demonstrate comprehensive expertise in leading financial due diligence engagements. 
    • Analyze financial and operational results of businesses to be acquired or sold through reviewing accounting records and conducting interviews with management. 
    • Demonstrate functional expertise in growth strategies, market entry assessments, portfolio reviews, strategic options analysis, operational improvements and commercial due diligence.
    • Demonstrate excellent skills in project execution, project management, problem-solving, and facilitation.
    • Develop excellent client relationships at the appropriate client level and be responsible for a high degree of client satisfaction with the engagement process and work products.
    • Assist in business development activities including preparing presentations and attending pursuit meetings with clients to help sell work and be responsible for fostering an open and inclusive work environment. 

    Requirements

    • Bachelor's Degree in Business, Accounting, Finance and/or related fields.
    • MBA or Business inclined Master’s Degree an asset.
    • ACA and/or CFA certification and/or related certification.
    • 5 - 7 years of relevant experience in financial due diligence, transaction advisory, lead advisory, transaction diligence, transaction strategy and execution, within a consultancy environment.
    • Experience with IFRS.
    • Fluent in English.
    • Advanced business writing and verbal communication skills; active listening skills, good (inter)personal communication skills and public speaking skills.
    • Ability to develop people including supervising staff effectively, providing constructive feedback/training and conduct performance reviews.
    • Excellent analytical skills and the confidence to translate complex data into meaningful insights.
