    Chief Operating Officer

    Job Summary

    • The Chief Operating Officer (COO) will oversee the day-to-day administrative and operational functions of the company.
    • The ideal candidate will be responsible for directing internal operations to achieve budgeted results and to preserve the capital funds invested in the company.

    Job Responsibilities

    • To develop and establish operating policies consistentlywith the CEO.
    • To make sure that all activities and operations are performed in compliance with local, state and federal regulations and laws governing business operations
    • To participate in the adoption of short term and long-term plans and budget based upon broad organizations goals and objectives and to recommend their adoption to the chief executive officer
    • To convert vision into specific actionable strategies and plans
    • To evaluate performance and recommend merit increases, promotions, and disciplinary actions
    • To delegate authority and responsibility as appropriate
    • To undertake special projects as directed by the CEO
    • To analyse and recommend changes in organizations systemfor bothcurrent and futuremarkettrends
    • To resolve problems related to staffing, utilization of facilities and management of the company.
    • Advising and evaluating department heads and managers on performance and compliance with goals
    • Always keeping the CEO informed of the major shifts and change in organization.

    Requirements

    • Minimum of a Bachelor's Degree in Business or a related area.
    • MBA will be an added advantage.
    • 10 years and above work experience.
    • In-depth knowledge of the company’s system.
    • Problem solving skill.
    • Good communication skill.
    • Enthusiasm.
    • Multi tasking skill.
    • Analytical.
    • Gender must be a female.

    Chief Legal Officer

    Job Duties

    • The Legal Officer is expected to provide legal services and guidance as necessary to all business units and head office within the Group and liaises with the Company Secretary and other legal firms on behalf of the Company.

    Key Performance Areas

    • Draft and review a wide variety of legal agreements.
    • Render legal assistance through the preparation of legal opinions, reports and correspondence as required from time to time by the Executive.
    • Responsible for all the external legal communications of the Group.
    • Ensures the provision of appropriate legal advice on a diverse range of substantive and procedural questions of law in the administrative functioning of the Group.
    • Ensure adequate preparation of Litigation.
    • Advising on and assessing the Level of Compliance to Legislative provisions.
    • Provide legal advice on procurement and human resources processes.
    • Provide advice and assistance on debt collection processes.
    • Conduct training and dissemination of appropriate advice to staff on legal and compliance issues.
    • Manage and administer the corporate legal documentation and contracts.
    • Draft, review and negotiate contracts, MoU’s and other legal documents as required by the Group and its various departments.
    • Liaise with the Company Lawyers and/or Company Secretary n serious legal issues and business matters.
    • Provide commercial legal support to all departmental projects and job functions.
    • Ensure the development of service level agreements for service support and delivery
    • Monitor the maintenance of the registers and other records required to be maintained by the hospitals in accordance with all applicable laws.
    • Provide all such other administrative and other secretarial duties as directed by the Executive.
    • Assist in the development of guidelines, policies and procedures.
    • Analyze and review legal agreements, legislation and documents for the Board.
    • Review and advise the Executive on the legal implications of internal policies and procedures.
    • Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
    • Any other duties as may be assigned.
    • This job description is not exhaustive and will evolve as the Company’s organizational needs change.
    • Maintaining proper corporate interactions with relevant local, state and federal government bodies.

    Requirements

    • Minimum of LL.M Degree (2nd Class Upper) from a reputed university.
    • Over 10 years' post-bar experience in a Corporate Law firm.
    • Must have an advanced understanding of company secretarial practice, commercial transactions, research and litigation.
    • Demonstrated ability to communicate and interact across to the board and management with confidence and authority.
    • Ability to deal with complex problems & apply judgment and independent reasoning in situations where applicable precedence and laws may not exist.
    • The CLO must possess strong initiative, as well as excellent management and leadership skills and strong business acumen.
