    Job Objectives:

    • To ensure that the company complies with the various relevant acts, government regulations and laws of the country
    • To ensure that the decisions of the board of directors are implemented.

    Key Responsibilities and Accountabilities

    • Prepare the notice for all meetings; such as, management meetings, board meetings, annual general meetings, extraordinary general meetings, and all board committee meetings. This includes organizing the agendas and papers, keeping directors fully informed, and coordinating all the logistics for each meeting (transport, hotels, venues).
    • Attendance of all meetings and documenting minutes of proceedings.
    • Ensuring update of status with all regulatory bodies; such as, PenCom and CAC, on any changes of directors or the distribution and ownership of shares in the company.
    • Keep all statutory books, such as the registers of shareholders up to date.
    • Ensuring that the company complies with the memorandum and articles of association, and responsibilities of the board, and compliance with the various corporate governance codes.
    • Liaise with directors, external lawyers, and shareholders.
    • Prepare reports, budgets and forecasts for the department.
    • Carry out a review of benefits applications and give legal opinions in respect of same where required.
    • Oversight of the company’s compliance with all relevant obligations under applicable laws and regulations.
    • Researching documents and case history to ensure the accuracy of advice and procedure.
    • Keeping up to date with changes and developments in the law by reading journals and attending courses, often as part of continuing professional development (CPD)
    • Negotiation, drafting and implementation of the terms of agreements in all business contracts and agreements.
    • Review all documentation that has a legal element prior to signing and implementing.
    • Ensure effective management of the company’s litigation portfolio.
    • Represent the company in contentious matters (litigation) and representing them in court, if necessary, and instructing external solicitors for representation.
    • Responsible for providing legal support in managing customer complaints to mitigate the risk of litigation.
    • Oversee the activities of the HR/Admin Department.

    Required Skills and Competencies

    • A minimum of 10 years post-call experience, of which at least 4 must have been in management capacity.
    • High level of initiative and ability to work with minimal supervision
    • In addition, prospective candidate should have:
    • Good oral communication and professional writing skills
    • Good knowledge of company secretarial functions
    • High proficiency in legal drafting
    • Ability to efficiently manage the litigation portfolio
    • Expert skills in business writing, negotiation, relationship management and presentation
    • Excellent interpersonal and team building skills
