    Legal Counsel

    Role Purpose

    • To provide day-to-day legal and commercial advisory support to Marconi’s operations, ensuring that contracts, regulatory engagements, and corporate actions are executed in compliance with applicable laws and Company policies. The Legal Counsel will be a key enabler of ensuring timely and risk-mitigated contract execution while supporting the General Counsel in maintaining robust legal governance across business units.

    Key Responsibilities

    Contracting and Commercial Advisory

    • Draft, review, and negotiate a wide range of agreements, including EPC contracts, service and supply agreements, vendor contracts, frame agreements, NDAs, MOUs, and consultancy agreements, LOAs, etc.
    • Develop and implement internal legal frameworks, policies, and procedures to streamline contract management, dispute resolution, and regulatory compliance.
    • Establish internal workflows for document control, legal archiving, and version tracking.
    • Provide proactive legal input during contract structuring and tendering processes to ensure commercial soundness and risk mitigation.
    • Liaise with project, procurement, HR, and finance teams to ensure all contracts are aligned with company policy and regulatory requirements and embed legal oversight across departmental processes.
    • Maintain a repository of contract templates and precedents to ensure standardization and efficiency.
    • Conduct preliminary review and coordinate internal inputs for change orders, variation claims, and contract amendments before escalation to the General Counsel.

    Regulatory and Compliance Support

    • Review contracts and operations for compliance with NCDMB, NUPRC, HSE, and other regulatory frameworks.
    • Support the preparation and submission of regulatory filings (e.g., permits, licenses, reports).
    • Design and implement compliance monitoring tools (e.g., registers, trackers) for statutory and local content obligations.
    • Support the integration of ISO, QMS, or HSE compliance frameworks into legal and operational documentation.
    • Maintain a Regulatory Compliance Register (covering NCDMB, NUPRC, CAC, FIRS, HSE obligations).
    • Prepare quarterly compliance status reports for review by the General Counsel and Management.
    • Coordinate documentation and responses to routine regulator queries and audits.
    • Conduct legal research on new laws, regulations, and government directives relevant to the oil & gas/EPC industry.
    • Liaise with external counsel or regulators when required.

    Legal Risk Management

    • Identify potential legal and operational risks  in business  activities  and recommend mitigation strategies.
    • Draft and review internal policies (e.g., contract approval matrix, ethics and compliance manual, record retention policy, etc).
    • Conduct training and awareness sessions for staff on legal and compliance obligations.
    • Support  implementation  of  the  Company’s  Code  of  Conduct  and  Business  Ethics, including staff awareness initiatives.
    • Provide legal support for any dispute resolution or pre-litigation activities liaising with external counsel.

    Corporate and Transactional Support

    • Assist the General Counsel in corporate governance activities such as drafting Board papers, presentations and maintaining corporate records.
    • Participate in due diligence, or strategic transactions as may arise.
    • Support the Legal and Community teams in documenting community agreements and ensuring alignment with local content guidelines and MOU.
    • Track all community MOUs and local content undertakings for community quota representations in collaboration with the General Counsel to ensure Company is abiding in line with its obligations, while tracking renewal or review deadlines.
    • Liaise with community and regulatory stakeholders on legal undertakings where required.
    • Support in external counsel performance tracking (invoices, deliverables, and engagement summaries).

    Key Deliverables

    • Timely turnaround of reviewed contracts, legal opinions and memos.
    • Maintenance of a contracts tracker and risk register.
    • Up-to-date compliance with applicable laws and regulations.
    • Reduction of contract-related disputes and delays.

    Qualifications and Experience

    • Bachelor of Laws (LL.B.) degree; Call to the Nigerian Bar (B.L.) mandatory; LL.M (added advantage)
    • Minimum of 7 years post-call experience, preferably with at least 3 years in an EPC, oil and gas, or infrastructure environment.
    • Strong drafting, negotiation, and analytical skills.
    • Experience with regulatory agencies (NCDMB, FIRS, CAC, NUPRC) preferred.
    • Excellent written and verbal communication.
    • Demonstrated experience in setting up or managing legal/compliance frameworks in a start-up or project-phase EPC environment.
    • Experience in HR or corporate governance functions will be an added advantage.
    • Familiarity with ISO 9001:2015 QMS or similar structured systems is desirable.

    Company Secretarial Officer

    Role Purpose

    • To support the General Counsel/Company Secretary in managing all corporate governance, statutory, and secretarial obligations of the Company and its affiliates. The role ensures compliance with the Companies and Allied Matters Act (CAMA), oversight of Board/Committee processes, and maintenance of all statutory registers and filings.

    Key Responsibilities

    Board and Committee Support

    • Prepare Board and Committee meeting notices, agendas, and supporting documents.
    • Attend meetings to take minutes and prepare resolutions.
    • Maintain proper filing of signed minutes, resolutions, and statutory records.
    • Track action items and ensure follow-up after meetings.
    • Collate and format departmental submissions to prepare the first-level draft of Board Packs ahead of circulation.
    • Support Board meeting logistics (invites, scheduling, circulation of presentations, remote access setup).

    Statutory and Regulatory Compliance

    • Manage CAC filings including annual returns, share capital updates, and changes in directors/secretaries.
    • Maintain statutory registers (members, directors, share allotments, debentures).
    • Support compliance with SEC and FRCN filings, where applicable.
    • Ensure all corporate actions align with company policies and legal requirements.

    Corporate Governance

    • Support  the  GC  in  implementing  governance  frameworks  across  Marconi  and  its subsidiaries.
    • Prepare extracts of resolutions and certificates for third parties (banks, regulators, etc.).
    • Assist in policy development relating to governance and Board conduct.
    • Maintain a calendar of Board and regulatory filing deadlines, ensuring proactive reminders.
    • Support the General Counsel/Company Secretary in preparing corporate governance dashboards (attendance records, compliance certificates, KPIs).

    Legal Administrative Support

    • Assist with document execution, record management, and archiving of key corporate and contractual documents.
    • Maintain an electronic database of corporate filings and certifications.
    • Liaise with regulators and external company secretaries when required.
    • Maintain a Board Resolution Index for easy retrieval of resolutions by topic or department.
    • Provide first-level support for share allotment or capital verification exercises before General Counsel sign-off.

    Key Deliverables

    • Timely and accurate completion of statutory filings.
    • Comprehensive, organised Board documentation and archives.
    • Reduction of compliance exceptions or late filings.
    • Professional and efficient Board/Committee coordination.

    Qualifications and Experience

    • Bachelor’s degree in Law, Business Administration, or related field.
    • 4–5 years company secretarial or corporate governance experience.
    • ICSAN qualification or partial completion is an added advantage.
    • Excellent understanding of CAMA 2020 and CAC filing processes.
    • Strong attention to detail and documentation discipline.
