    Legal Counsel, Corporate Commercial

    Job Summary & Purpose

    • This role is responsible for ensuring that the company’s interests, operations and business transactions are protected to minimize exposure to potential litigation and fully comply with the law / relevant statutory provisions.

    Organisational Relationships:

    • Reports to: Group Head, General Counsel / Company Secretary
    • Direct Reports from: Legal Officer
    • Internal Relationships: All Staff

    External Relationships:

    • Legal consultants/ External solicitors
    • Government agencies and court officials
    • Law enforcement agencies (e.g. the Police)
    • External Auditors
    • Shareholders.

    Responsibilities

    • Serve as Internal Legal Consultant to other functional units in the company by providing advice on contracts laws, dispute resolution and also provide legal advice on issues and implications that may arise in dealing with external customers.
    • Draft, vet and review all legal documents and agreements relating to the Group’s operations (e.g. supplier / vendor contracts, insurance contracts, employee contracts, service level agreements) and ensure company standards are properly complied with before sending them to the Group Head, General Counsel/ Company Secretary for the signing of new deals/executing agreements.
    • Review all contracts to identify clauses that may unduly expose the company to risks.
    • Work with the Group Head, General Counsel/Company Secretary to advise management in all contractual negotiations and arrangements.
    • Liaise with external regulators and advisers, such as lawyers, auditors, etc. on behalf of company.
    • Conduct legal analysis and research on various legal matters for the company.
    • Provide advice on different legal issues and assist in drafting legal opinions, memoranda and other briefing documents.
    • Assist in reviewing the legal material and any other relevant documents and to identify the most important issues that need to be sorted out on a priority basis.
    • Draw up formalities regarding the settlement of disputes and monitor the implementation of the legal clauses.
    • Support the Group Head, General Counsel/Company Secretary to provide legal advice on all business transactions with third parties including all legal documents and newspaper publication to avoid or minimise exposure to potential litigation.
    • Prepare legal guidelines for expansion to mitigate against possible litigation, arbitration, staff and/or community unrest and other situations capable of disrupting the Company’s operations.

    Person Specifications

    • Academic Qualification: First Degree in Law (LLB, BL)
    • Professional Qualification: Membership of relevant professional bodies such as Institute of Chartered Secretaries of Nigeria (ICSA)
    • Experience: Minimum of 7 years or relevant experience with at least 2 years in a supervisory role.

    Key Skills & Competencies:

    • Proven hands-on technical capacity in dealing with and advising on matters of corporate, business and commercial law, encompassing contracts/agreements, litigation, arbitration and legal risk management.
    • Strong ability to communicate effectively – oral and written.
    • Deep knowledge of and very current with developing legal issues and trends, institutional policies and procedures, regulations and by-laws as well as the legal environment within which they operate.
    • Excellent planning and record management skills.
    • Strong negotiation and persuasion skills.
    • Strong leadership skills, intuitiveness and ability to pay attention to details.
    • Strong analytical and crisis management skills.
    • High level of integrity, objectivity and professional scepticism.

    Legal Counsel, Secretariat Services and Regulatory Affairs

    Job Summary & Purpose

    • This role is responsible for providing all legal secretariat services across the Organisation as well as liaising with regulatory agencies, preparation of regulatory reports and managing relationships with regulatory bodies for all business operations

    Responsibilities

    • Assist the Group Head, General Counsel / Company Secretary in providing legal advice and secretarial services to the company on compliance with applicable rules and regulations.
    • Assist the Group Head, General Counsel / Company Secretary in coordinating the Board reviews/evaluation.
    • Ensure that all statutory records, i.e. register of shareholders / directors, information memoranda, minutes of Board meetings, share ownership structure and changes in any of these, are in accordance with the relevant regulations/acts.
    • Liaise with relevant functional SBUs within the Organisation to ensure that disclosure requirements are met for annual financial statement preparation.
    • Monitor and advise the Group Head, General Counsel / Company Secretary on corporate governance trends and changes in relevant legislation.
    • Assist the Group Head, General Counsel / Company Secretary in monitoring to ensure statutory returns are made to the relevant authorities.

    Quality Control and Quality Assurance (QA / QC) Officer

    Location: Warri, Delta
    Level: Deputy Manager
    Report to: Corporate Quality Manager

    Job Summary & Purpose

    • For the Coordination of all SBU / Base & Project Quality Assurance and Quality Control activities. Liaison with Corporate for implementation of latest ISO 9001 standard requirements.

    Responsibilities

    • Identifying information by categorizing, estimating, recognizing differences or similarities, and detecting changes in circumstances or events.
    • Schedule and conduct internal and external audits processes for vendor/subcontractors accordingly.
    • Monitor and review information from materials, events, or the environment, to detect or assess problems.
    • Ensure and evaluate compliance with laws, regulations, codes or standards to company processes.
    • Plan and Conduct QMS Internal Audits &Management/Process Reviews.
    • Review and interpret NDT results from welding activities.
    • Review all Subcontractor/Vendor quality data to ensure compliance with company standard specifications, all engineering/technical/quality document but not limited to Drawing, Specifications, external supplied works instruction, Quality plan and Quality procedures
    • Ensure all personnel within his charge are fully conversant with and understand all relevant procedures.
    • Generate and oversee the issuance of all QA/QC related documentation and final project dossier documentation (through DCC)
    • Numbering, recording, and distribution of NCR’s. Agreeing proposed corrective actions with relevant departmental Manager and liaison on all matters arising from a Non Conformance till close out.

    Main Activities

    • Reviews and interprets work orders, inspection manuals and blueprints to determine inspection and test procedures.
    • Handles Material Inspection Control.
    • Analyses and interprets sample data.
    • Estimates and records operational data.
    • Ensures completeness of necessary procedures to satisfy licensing requirements, and indicates concurrence with acceptance or rejection decisions.
    • Ensures inspections checks/reports for vendors/subcontractors complies with company requirements.
    • Plans and conducts Quality/QMS Planning, Internal Audits and Management/Process reviews.

    Requirements

    • Academic Qualification: Minimum Degree / HND in Engineering or Science based discipline
    • Experience: 7 years.

    Training / Certification:

    • CSWIP 3.1 an advantage; ASNT level II in RFI, UT, PT, MT or equivalent;
    • QMS Lead Auditor in Latest ISO 9001 standard and computer literate (Excel & PP).

    Key Competencies / General Knowledge and Technical Skills:

    • Responsible to implement Quality Plan in assigned scope of work.
    • Establish Quality plan for all QAQC activities from material order, storage, traceability, follow up, erection and corresponding tests.
    • Participate from initial preparation and involvement in final reception of the work/activity.
    • Verifies production of quality records and compilation in a format suitable for hand-over to operations, including as-built.
    • Ability to work without supervision.
    • Perform supervisory actions in relation as required.
    • Demonstrates zero tolerance to divergence.
