    Company Secretary

    Job Description

    • Statutory Compliance functions including but not limited to:
    • Maintaining the Company’s statutory books and registers
    • Filing of statutory returns at the Corporate Affairs Commission and other relevant regulatory agencies
    • Coordinating Company Registrations and annual renewals with regulatory agencies
    • Interfacing with and making representations to regulators on behalf of the Company
    • Working with Management towards the efficient management and mitigation of the risk of non-compliance.

    Company Secretarial functions including but not limited to:

    • Convening and Coordinating Meetings of the Board of Directors and Statutory Meetings
    • Ensuring compliance of Board and Company meetings with the relevant statutory and regulatory requirements
    • Documenting minutes of meetings and resolutions and filing resolutions with the Corporate Affairs Commission
    • Drafting and reviewing agreements, correspondence, commercial offers and other documents.

    Tenders Management including:

    • Coordination of tender preparation and submission
    • Follow up with Contractors after submission

    General HR Management and Administrative Functions including:

    • Determining staffing requirements, conducting interviews and induction/training of new employees
    • Managing staff through preparation of work schedules, assigning specific duties and overseeing personnel processes.
    • Development and implementation of departmental policies, goals, objectives and procedures through due deliberations with the management team and staff members as necessary
    • Preparation of reports needed to monitor and track projects.
