    TRANSACTION/COMMERCIAL LAWYER

    One of the leading legal practitioners and arbitrators in the Nigerian legal sector is looking to hire a Transaction/ Commercial Lawyer immediately.

    Job Location: Victoria Island, Lagos (The ideal candidate should preferably reside on the Island i.e. Lagos Island, Lekki, Ajah and immediate locality).

    Description of Duties:

    (a)  All administrative tasks required for the post.
    (b) Deal with issues pertaining to business transactions. Draft client agreements, negotiate employment contracts or write purchase agreements.
    (c)  Review business transactions or negotiate trade, employment and other agreements.
    (d) Draft and negotiate contracts, whether in their own right or as part of complex mergers and acquisitions (M&A) and financing transactions.
    (e) Provide a broad range of commercial legal support for operational and corporate services issues, advising in particular on a wide range of general commercial contracts of all sizes, including outsourcings, facilities management contracts, marketing and agency contracts, , consultancy and other services arrangements, special events, construction/real estate related contracts, confidentiality agreements and other related commercial contracts etc.
    (f)   Assist with the revising of current, and development of new procedures, precedents and related ways of enhancing the provision of legal support, particularly in relation to supporting the Procurement function.
    (g)    Understand and ensure that contracting arrangements are consistent with applicable policies. Working with other commercial lawyers when engaged, including the supervision and training of more junior lawyers as the need arises.
    (h)   Work on a broad spectrum of transactions, from substantial outsourcing, joint ventures and project development agreements to day-to-day manufacture, logistics/warehousing, advertising arrangements etc.
    (i)    Work in close contact with the firm's litigation department.
    (j)     Engage in negotiations on behalf of clients.
    (k)  Clarifying with client officers any difficult areas, dealing with and responding to any defences and/or counter claims lodged.
    (l)    Carry out extensive research and report writing.
    (m) Keep up to date with the latest commercial and legal developments
    (n) Any other duties relevant for the work of the Section as determined by the post holder’s line manager.

    Required Education & Skills:

    • Candidate must be a graduate of Law with minimum of six (6) years experience.
    • A skilled negotiator and team player who can actively work with the businesses to engineer pragmatic solutions to a wide range of challenges, while balancing the need to comply with many and often potentially conflicting legal, regulatory and internal policy requirements.
    • The ability to balance legal risk with the commercial needs of the business.
    • A proven ability to work with colleagues in different regions to find solutions across different legal, regulatory and business requirements.
    • Excellent writing skills with little or no review needed.
    • Ability to work well under pressure and meet deadlines.

    Job summary:   
    The duties includes clerical, administrative, research and include scheduling travel, arranging meetings, handling information requests, preparing reports and correspondence and liaising with clients. In a nut shell, the role provides an efficient and responsive administrative, organizational, and logistical service to the Managing Partner, helping to manage and prioritize time.

    Description of Duties:

    (a) All administrative tasks required for the post.
    (b) Prepare documents, including legal briefs, court papers, spreadsheets and other office-related letters.
    (c) Organize and maintain all legal files kept on-site, also maintain electronic-filing databases.
    (d) Provide the Managing Partner with direct assistance, such as helping with research for cases, gathering necessary documents for trials and submitting paperwork to courthouses.
    (e) Schedule client appointments, answering calls, taking notes during legal meetings and maintaining the firm's legal research references.
    (f) Acts as the first point of contact for the Managing Partner’s Office and guarantees the image of all departments internally and externally.
    (g) Prepares meeting programs as well as organisational aspects and materials.
    (h) Manages and organises administration work in the office.
    (i)  Arranges all aspects concerning travel i.e. detailed agendas, schedules, flights, hotel reservations, transfers, visas etc. This also includes visitors from within and outside the Cluster.
    (j) Administers the calendars and meeting schedules together with arranging meeting resources where appropriate.
    (k) Effectively takes minutes of meetings where necessary.
    (l)  Develops a clear understanding and knowledge of all applicable company policies / procedures, organisation requirements and company operations.
    (m) Assist with ad-hoc project work where clearly defined administrative support is required.
    (n) This person may often close late as the need arises.

    Required Skills:
    The ability to multitask effectively. Strong organizational skills and attention to detail are also essential for this career. Computer skills are required. Good communication skills are also necessary to instruct staff members and to address clients. Familiarity with legal terminology and government regulations will be a huge advantage for this role.

    Education & Knowledge:

    • Must be a graduate in Secretarial, paralegal or business related studies.
    • Must be proficient with the keyboard and IT applications (this may be tested during the selection process).
    • Intermediate level in the use of Word, Excel and PowerPoint Skills (all essential)
    • Excellent organizational skills, ability to multi-task and organize others.
    • Excellent oral and written communication skills and ability to professionally represent the Director’s office.
