    Legal Associate

    Description 

    • Draft and/or review legal documents, contracts, term sheets, offer letters, agreements to lease, deed of sublease, procurement agreements, utility agreements, construction and infrastructure development, financing, and other corporate documents etc.
    • Identification of potential risk factors for new and existing transactions and suggesting mitigation measures.

    Responsibilities 

    • Provide litigation and court process drafting support to the Head of Legal.
    • Assist in the review of the Corporate Governance Handbook (CGHB)
    • Preparation of Board materials for Board meetings
    • Taking of minutes of Board meetings
    • Drafting and reviewing board resolutions and extracts
    • Assist with company secretarial functions, such as statutory filling and updating company records on an ongoing basis in a timely manner (jointly with the Head of Legal);
    • Regularly ensure the registration of the title documents with NEPZA/ALARO title registry and or Land Registry at Alausa (jointly with the Head of Legal);
    • Following up and ensuring that all board action points are met immediately after the Board meetings
    • Flag all non-compliance with the Rendeavour Corporate Governance Handbook, Alaro City
    • Development FZC and other Rendeavour entities in Nigeria.
    • Drafting, reviewing and optimizing internal guidelines and policies;
    • Conduct and commission research and analysis of specific legal questions and preparation of
    • information memoranda, opinions, position papers and, any other legal research as may be required;
    • Maintain and regularly update the contract database.
    • Undertaking internal audits to ensure that the Company’s business is compliant with the legal, regulatory and the joint venture framework;
    • Ensuring that the central storage (Egnyte) for all key corporate documents are kept up to date (e.g. constitutional documents, title documents, board materials, key correspondence or letters,
    • key financing and commercial agreements), jointly with the Head of Legal;
    • Monitoring Nigerian legislation as well as advising on the impact of existing and newly enacted legislation on the Company’s business;
    • Consistently complete tasks in accordance with agreed deadlines and to the highest quality standard, meeting or exceeding expectations of internal and external stakeholders; and
    • All other duties and responsibilities as assigned.

    Requirements
    Hard Skills and Experience:

    • At least 3-6 years of core legal experience;
    • Wide and strong network in Nigerian and international business circles;
    • Must have been called to the Nigerian Bar
    • Strong technical ability in: real estate/property law, utilities (power, water, etc) and infrastructure, corporate/commercial law transactions;

    Soft Skills:

    • Excellent communication skills;
    • Task-oriented, initiative driven, and enthusiastic;
    • Mature, pragmatic, and flexible approach, strong commercial judgment.
    • Good attention to detail.
    • Good planning and organizational skills;
    • Excellent report writing and documentation skill;
    • Good IT skills; and Good team player.
    • Ability to multi-task, establish priorities, and maintain organization in a rapidly changing environment.
